WHEREAS, Client is engaged in lawful business activities and requires an authorized representative to act on Client's behalf for limited matters described herein; and

SCOPE OF REPRESENTATIVE AUTHORITY

Representative is authorized to act on behalf of Client only to the extent expressly set forth in this Agreement. The specific authorized duties and limitations are described below. Representative shall not bind Client beyond the express authority granted.

PAYMENT TERMS

As compensation for services performed pursuant to this Agreement, Client shall pay Representative in accordance with the terms set forth below.

TERM AND TERMINATION

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated as provided herein.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to the effective termination date. Termination for cause may be immediate where the terminating party provides written notice of material breach and the breaching party fails to cure within 10 days of such notice.

CONFIDENTIALITY

Representative shall hold in strict confidence all non-public, proprietary, or confidential information disclosed by Client or accessed by Representative in connection with performing duties under this Agreement ("Confidential Information"). Representative shall not disclose, use, copy, or permit the use of Confidential Information except as necessary to perform authorized duties. This obligation survives termination of this Agreement for a period of three (3) years.

INDEMNIFICATION

Representative shall indemnify, defend and hold harmless Client from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of Representative's gross negligence, willful misconduct, or breach of this Agreement. Client shall similarly indemnify Representative for claims resulting from Client's instructions that are unlawful or outside the scope of authority granted herein.

LIMITATION OF AUTHORITY

Representative has no authority to: (a) create or assume debts or liabilities on behalf of Client beyond expressly delegated authority; (b) transfer or assign ownership interests in Client's business; or (c) make unilateral material changes to Client's corporate or tax elections. Any action outside of the scope requires prior written authorization by Client.

NOTICES

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. Any dispute arising under this Agreement shall be resolved by the state or federal courts located in that state, and the parties hereby submit to the exclusive jurisdiction and venue of those courts.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior and contemporaneous agreements, understandings, negotiations and communications, whether written or oral. Any modification or amendment to this Agreement must be in writing and signed by both parties.

REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that it has the full right, power and authority to enter into and perform its obligations under this Agreement, and that the individual signing on its behalf is authorized to bind the party.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remainder of the Agreement shall remain in full force and effect. The headings in this Agreement are for convenience only and shall not affect interpretation.
