This Business Use Permit and Services Agreement (the Agreement) is entered into as of Effective Date: by and between:

WHEREAS, Provider represents that it has the experience, personnel and capability to perform the services and to use Client's premises for the purpose set forth herein under the terms and conditions of this Agreement.

Scope of Work

Payment Terms

Client shall pay Provider the Fees set forth below in consideration for the permitted use and services rendered under this Agreement.

All payments are due according to the Payment Schedule. Late amounts shall accrue interest or late fees as specified above and Client will also reimburse Provider for reasonable collection costs and attorneys' fees incurred in enforcing payment obligations.

Term and Termination

This Agreement commences on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon providing written notice to the other party no fewer than days prior to the effective date of termination. Either party may terminate immediately for material breach if such breach is not cured within a reasonable cure period not to exceed 30 days after written notice.

Confidentiality

Each party (Receiving Party) acknowledges that during the performance of this Agreement it will receive Confidential Information of the other party (Disclosing Party). Confidential Information includes non-public business information, technical information, customer lists, pricing, trade secrets, and any other information designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Receiving Party shall: (a) hold Confidential Information in strict confidence; (b) not disclose Confidential Information to any third parties except as expressly permitted herein; and (c) use Confidential Information solely for the performance of this Agreement.

Confidentiality obligations do not apply to information which: (i) is or becomes publicly available through no breach of this Agreement; (ii) is already known to the Receiving Party without restriction; (iii) is rightfully obtained from a third party without restriction; or (iv) is independently developed without use of the Disclosing Party's Confidential Information. The parties agree that monetary damages may be inadequate and that injunctive relief may be sought for breaches of this Section in addition to other remedies available at law or equity.

Liability and Insurance

Each party shall maintain insurance coverages reasonably appropriate for its obligations under this Agreement. Except for willful misconduct or gross negligence, neither party shall be liable to the other for indirect, incidental, consequential, special or punitive damages. The parties' aggregate liability under this Agreement shall not exceed the amount of fees paid by Client to Provider under this Agreement in the twelve (12) months preceding the claim.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. Venue for any action arising under this Agreement shall be in the state or federal courts located in that state.

Entire Agreement; Amendments

This Agreement, including any exhibits or attachments executed contemporaneously, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. No amendment, waiver or modification shall be effective unless in writing and signed by authorized representatives of both parties.

Notices

All notices required or permitted under this Agreement shall be in writing and shall be delivered to the addresses set forth above, or such other address as either party may specify in writing, and shall be deemed given when delivered personally, sent by confirmed overnight courier, or three business days after deposit in the U.S. mail, postage prepaid, certified or registered.

Miscellaneous

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. The parties are independent contractors; nothing in this Agreement creates an agency, partnership or joint venture. Neither party may assign this Agreement without the prior written consent of the other party, except to a successor in interest to substantially all of its business.
