WHEREAS

WHEREAS, Provider possesses facilities, equipment, services and expertise for business operations that Provider is willing to make available for the Client’s lawful business use under the terms set forth herein; and

WHEREAS, Client desires to obtain limited business use rights for the specific activities described in this Agreement, and Provider is willing to grant such rights subject to the terms, limitations, and conditions contained herein.

WHEREAS, the parties intend that this Agreement memorialize their mutual obligations, payment terms, confidentiality commitments, and the duration of the business use authorization.

SCOPE OF WORK

The Client's use shall be limited to the activities described above. Any changes to the scope require prior written consent of the Provider. Client shall comply with all applicable laws, zoning, safety and licensing requirements in the course of the permitted activities.

PAYMENT TERMS

Any past due amount shall accrue a late fee of on the outstanding balance, calculated monthly, in addition to any collection costs permitted by law.

TERM AND TERMINATION

Term Commencement: This Agreement shall commence on day of , and shall continue until day of , unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered not less than days prior to the intended termination date. Provider shall be entitled to compensation pro rata for services performed through the effective date of termination.

Either party may terminate immediately upon material breach by the other party that remains uncured for a period of ten (10) days following written notice of such breach. Material breaches include, but are not limited to, nonpayment, unauthorized use beyond the scope, or violation of applicable law.

CONFIDENTIALITY

For the purpose of this Agreement, "Confidential Information" means non-public information disclosed by either party relating to business operations, trade secrets, financial data, customer lists, technical processes, or other information reasonably understood to be confidential. Each party shall: (a) maintain Confidential Information of the other party in strict confidence using at least the same degree of care it uses to protect its own confidential information but no less than reasonable care; (b) not disclose Confidential Information to third parties except to those employees, agents or contractors with a need to know and who are bound to confidentiality obligations; and (c) use Confidential Information solely to perform obligations under this Agreement.

Confidentiality obligations shall survive termination or expiration of this Agreement for a period of years, except for trade secrets which shall remain protected for as long as such information qualifies as a trade secret under applicable law.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties consent to the exclusive personal jurisdiction of the state and federal courts located in the chosen state for any dispute arising out of or relating to this Agreement.

MISCELLANEOUS

Entire Agreement: This Agreement, including all exhibits and attachments, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior understandings, whether written or oral. Any amendment must be in writing and signed by authorized representatives of both parties.

Assignment: Neither party may assign or delegate any rights or obligations under this Agreement without the prior written consent of the other party, except that Provider may assign this Agreement to an affiliate or in connection with a merger or sale of substantially all of Provider's assets.

Indemnification: Each party agrees to indemnify and hold harmless the other party from and against any losses, claims, damages, liabilities or expenses (including reasonable attorney fees) arising from its gross negligence, willful misconduct, or material breach of this Agreement.
