WHEREAS

WHEREAS, Company possesses certain ultraviolet technology, equipment, specifications, processes, protocols and related materials (collectively, the "UV Assets") that are proprietary and developed for use in commercial business applications; and

WHEREAS, Business User desires to obtain a limited business use authorization to operate, access, test and apply the UV Assets in accordance with the terms set forth in this Agreement, and Company is willing to grant such authorization under the conditions set forth herein.

WHEREAS, the parties intend to define a scope of work, payment terms, confidentiality obligations, and limitations on use of the UV Assets for the mutual benefit and protection of both parties.

Termination for cause: Either party may terminate immediately for material breach after written notice and failure to cure within the applicable cure period provided in this Agreement.

CONFIDENTIALITY

Definition: "Confidential Information" means non-public technical, commercial or business information disclosed by one party to the other, including trade secrets, specifications, process parameters, UV safety procedures, test results and pricing information, whether disclosed orally or in writing.

Obligation: The recipient shall hold Confidential Information in strict confidence, shall not disclose it to third parties except as expressly permitted in writing, and shall use it solely for the purposes described in the Scope of Work. Reasonable access may be granted to employees, contractors and consultants strictly on a need-to-know basis provided such persons are bound by confidentiality obligations no less protective than those in this Agreement.

Exceptions: Confidential Information does not include information that (a) is or becomes public through no fault of the recipient, (b) was lawfully in the recipient’s possession prior to disclosure, (c) is rightfully received from a third party without breach of obligation, or (d) is independently developed by the recipient without use of the disclosing party’s Confidential Information.

Duration: Confidential obligations shall continue for years from the date of disclosure, and trade secrets shall remain protected for as long as they qualify as trade secrets under applicable law.

COMPLIANCE, INDEMNIFICATION AND SAFETY

Compliance: Business User shall operate the UV Assets in compliance with all applicable laws, regulations and industry safety standards. Company shall provide reasonable operational and safety instructions; Business User is responsible for training its personnel and maintaining safe facilities.

Indemnification: Each party shall indemnify and hold the other harmless from third-party claims arising out of its gross negligence, willful misconduct, or material breach of this Agreement, including misuse of the UV Assets and failure to follow mandated safety procedures.

LIMITATION OF LIABILITY

Except for liability arising from wilful misconduct, fraud, or indemnified third-party claims, neither party shall be liable to the other for incidental, consequential, special or punitive damages. Aggregate liability shall not exceed the total amounts paid by Business User to Company under this Agreement in the twelve (12) months preceding the claim.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of: without regard to its conflict of law principles.

ENTIRE AGREEMENT

This Agreement, including all exhibits and attachments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof, superseding all prior and contemporaneous negotiations and agreements, whether written or oral. No amendment shall be effective unless in writing and signed by authorized representatives of both parties.

Severability: If any provision of this Agreement is held invalid or unenforceable, the remainder of the Agreement shall remain in full force and effect and the invalid or unenforceable provision shall be reformed only to the extent necessary to make it valid and enforceable.
