BUSINESS VA AGREEMENT

This Business Virtual Assistant Services Agreement (the "Agreement") is entered into on by and between:

RECITALS

WHEREAS, Client operates a business and desires to engage Virtual Assistant to perform administrative, operational and other business support services as described in this Agreement; and

WHEREAS, Virtual Assistant represents that Virtual Assistant has the skill, experience, personnel and facilities necessary to perform those services and is willing to provide such services as an independent contractor under the terms and conditions set forth below; and

WHEREAS, the parties desire to set forth the terms and conditions governing Virtual Assistant’s provision of services to Client.

SCOPE OF WORK

Virtual Assistant shall perform the services described below and any other services mutually agreed in writing by the parties. The description below is intended to define core responsibilities but may be adjusted by written amendment.

PAYMENT TERMS

Client shall pay Virtual Assistant the compensation set forth below in exchange for satisfactory performance of the Scope of Work. All amounts are payable in U.S. dollars unless agreed otherwise in writing.

TERM AND TERMINATION

This Agreement shall commence on and shall continue until unless earlier terminated as provided herein.

Either party may terminate this Agreement for material breach if the breaching party fails to cure the breach within fifteen (15) days after receipt of written notice specifying the breach. Termination shall not relieve Client of its obligation to pay for services rendered and expenses properly incurred up to the effective date of termination.

CONFIDENTIALITY

Virtual Assistant acknowledges that during the course of performance Virtual Assistant will receive or have access to Confidential Information. "Confidential Information" means non-public information disclosed by Client, whether oral, written or electronic, that is designated confidential or that reasonably should be understood to be confidential given the nature of the information. Virtual Assistant shall (i) hold Confidential Information in strict confidence, (ii) not disclose Confidential Information to any third party without Client's prior written consent, and (iii) use Confidential Information solely to perform services under this Agreement. Excluded from Confidential Information are items that are (a) publicly known through no breach by Virtual Assistant, (b) rightfully received from a third party without restriction, or (c) independently developed without use of Client's Confidential Information.

INTELLECTUAL PROPERTY AND WORK PRODUCT

All work product, deliverables and materials created by Virtual Assistant specifically for Client under this Agreement (collectively, "Work Product") shall be deemed work made for hire and are the exclusive property of Client upon full payment. To the extent any Work Product is not a work made for hire, Virtual Assistant hereby assigns and agrees to assign to Client all right, title and interest in and to such Work Product, including all intellectual property rights.

INDEPENDENT CONTRACTOR

Virtual Assistant is an independent contractor and not an employee, agent or partner of Client. Virtual Assistant shall be solely responsible for all taxes, benefits, insurance and statutory obligations arising from compensation paid under this Agreement.

LIMITATION OF LIABILITY

Except for breaches of confidentiality or willful misconduct, neither party shall be liable to the other for consequential, incidental, special or punitive damages. The aggregate liability of either party for any claim arising under this Agreement shall not exceed the total amounts paid by Client to Virtual Assistant under this Agreement in the six (6) months preceding the event giving rise to the claim.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to that State's conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, together with any attachments and written amendments signed by both parties, constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral.

MISCELLANEOUS

Any amendment or modification to this Agreement must be in writing signed by both parties. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions will remain in full force and effect. Notices required under this Agreement shall be in writing and delivered to the addresses set forth above.
