BUSINESS VIRTUAL ASSISTANT SERVICES AGREEMENT

Parties

This Agreement is entered into as of by and between (Client) with principal address , and (Virtual Assistant) with principal address .

WHEREAS

WHEREAS, Client desires to engage Virtual Assistant to perform administrative and business support services on the terms and conditions set forth in this Agreement; and

WHEREAS, Virtual Assistant represents that Virtual Assistant has the skill, experience and resources necessary to perform the services described below and agrees to perform such services as an independent contractor.

Scope of Work

Payment Terms

Client shall pay Virtual Assistant the fees as follows. The parties agree that fees are exclusive of applicable taxes unless otherwise stated.

Any undisputed amount not paid within 15 days after the due date shall accrue interest at the rate specified above and Client shall be responsible for reasonable collection costs and attorney fees incurred by Virtual Assistant in collecting overdue amounts.

Term; Termination

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon days' prior written notice. Either party may terminate immediately for material breach if the breach is not cured within 14 days after written notice.

Upon termination, Virtual Assistant shall be paid for all services performed and expenses reasonably incurred through the date of termination. Client shall return all Client property and confidential materials to Virtual Assistant or destroy such materials at Virtual Assistant's election.

Confidentiality

For purposes of this Agreement, "Confidential Information" means any non-public information disclosed by one party to the other that is designated confidential or that reasonably should be understood to be confidential. Virtual Assistant shall (i) use Confidential Information solely to perform the services, (ii) restrict disclosure to those employees or contractors who need access to perform the services and who are bound by confidentiality obligations at least as protective as those in this Agreement, and (iii) exercise at least the same degree of care in protecting Confidential Information as Virtual Assistant uses for its own confidential information, but no less than reasonable care.

Confidential Information does not include information that is: (a) publicly available through no fault of the receiving party; (b) already rightfully known by the receiving party prior to disclosure; (c) rightfully obtained from a third party without breach; or (d) independently developed without use of the disclosing party's Confidential Information. Upon written request, the receiving party shall promptly return or destroy Confidential Information and provide written certification of such return or destruction.

Intellectual Property

Unless otherwise agreed in writing, Virtual Assistant assigns to Client all right, title and interest in and to all works, deliverables and inventions created specifically for Client under this Agreement (collectively, "Work Product"). Virtual Assistant retains all right, title and interest in its pre-existing materials, tools, templates and methodologies. If any Work Product contains Virtual Assistant's pre-existing intellectual property, Virtual Assistant grants to Client a perpetual, non-exclusive, worldwide license to use such pre-existing materials solely as incorporated in the Work Product.

Independent Contractor; Taxes

The relationship of the parties is that of independent contractors. Virtual Assistant is solely responsible for all taxes, withholdings and other statutory obligations arising from fees paid under this Agreement. Nothing in this Agreement shall be construed to create an employer-employee relationship, joint venture or partnership between the parties.

Indemnification

Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims, liabilities, losses, costs and expenses (including reasonable attorney fees) arising out of the indemnifying party's breach of this Agreement, negligence, or willful misconduct.

Limitation of Liability

Except for liability arising from breach of confidentiality or indemnification obligations, neither party shall be liable to the other for consequential, incidental, special or punitive damages, and total aggregate liability under this Agreement shall not exceed the fees paid by Client to Virtual Assistant during the six (6) months immediately preceding the event giving rise to the claim.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of without regard to conflicts of law principles. The parties agree to attempt to resolve disputes in good faith and, if not resolved, to submit to the exclusive jurisdiction of the courts located in the jurisdiction specified above.

Entire Agreement; Amendments

This Agreement, including any attachments and written statements of work signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals or understandings, whether written or oral. Any amendment or modification to this Agreement must be in writing and signed by both parties.

Notices

Notices under this Agreement shall be given in writing and delivered to the addresses set forth above or to such other address as either party may designate in writing. Notice is effective upon receipt.
