Recitals

WHEREAS, Validator: is engaged in the business of validating corporate, tax and registration data for commercial clients; and

WHEREAS, Client Name: (the "Client") seeks to engage Validator to perform verification and validation services for the business described below in accordance with the terms of this Agreement.

WHEREAS, the parties desire to set forth the scope, payment terms, confidentiality commitments and other material terms governing the validation engagement.

Scope of Work

Payment Terms

As full compensation for the services described in Scope of Work, Client shall pay Validator as set forth below.

Invoices are due within days of invoice date. Past due balances shall incur late fees as set forth below.

Term and Termination

This Agreement commences on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon providing written notice to the other party at least days prior to the effective termination date. Either party may terminate immediately for material breach that is not cured within 15 days after written notice.

Confidentiality

The parties acknowledge that in connection with this engagement each may disclose Confidential Information to the other. "Confidential Information" means non-public business, financial, and operational information, trade secrets, customer and supplier lists, and any information marked or reasonably understood to be confidential. Each party shall: (a) hold Confidential Information in strict confidence; (b) not disclose Confidential Information to any third party except as required by law or with prior written consent; and (c) use Confidential Information solely for performance or enforcement of this Agreement. Obligations under this section survive termination for a period of three (3) years.

Client acknowledges that Validator may use third-party data sources to perform validation; Validator will not disclose Client Confidential Information to third parties except as necessary to perform the services and subject to written confidentiality assurances.

Representations and Warranties

Client represents and warrants that the information provided in this form is true, accurate and complete to the best of Client's knowledge as of the date below. Client will promptly notify Validator of any material change to such information.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. The parties consent to exclusive jurisdiction of the state and federal courts located within such State for any dispute arising out of or relating to this Agreement.

Entire Agreement

This Agreement, together with any attachments and the Scope of Work described herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, or communications, whether written or oral. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

Miscellaneous

Notices under this Agreement shall be sent to the addresses provided in this form. If any provision of this Agreement is found invalid or unenforceable, the remaining provisions remain in full force and effect.
