What the Business Valuation Update Request Is

A Business Valuation Update Request is a standardized document used to request an updated estimate of a company’s fair market value from an appraiser, valuation firm, or internal valuation team. It summarizes the scope, time period, financial inputs, intended use (tax, financing, sale, estate planning), and required deliverables. The request can accompany engagement letters and supporting exhibits and is routinely executed by authorized company officers; electronic signatures are generally acceptable under the ESIGN Act (15 U.S.C. ch. 96) and governing state law (UETA where adopted).

Why an Update Request Matters for Accurate Decisions

An up-to-date valuation preserves decision quality for financing, M&A, tax reporting, or shareholder disputes by aligning assumptions and refreshed financials with current market conditions. A formal request clarifies scope, reduces misunderstandings, and creates an auditable record of the valuation assignment.

Why an Update Request Matters for Accurate Decisions

Who Typically Prepares or Receives This Request

Several roles use or respond to valuation update requests depending on context; the following profiles reflect common participants.

  • Business owners and C-suite executives requesting a formal update for sale, financing, or governance purposes.
  • Lenders, investors, and private equity sponsors seeking current value data for covenant testing or investment decisions.
  • Appraisers, valuation firms, and in-house valuation teams preparing the update and delivering updated reports.

Align roles and responsibilities in the request to speed review and prevent rework; name the primary contact and provide deadlines.

Representative Signatories and Recipients

CFO

Chief Financial Officer or Treasurer typically initiates the request, certifies financial inputs, and has authority to approve engagement scope and sign the request on behalf of the company.

Valuation Analyst

External valuation firm analyst or internal valuation lead receives the request, confirms data sufficiency, and returns the updated valuation report with assumptions and any limiting conditions.

Key Parts to Include in a Professional Update Request

A clear structure reduces ambiguity. Include identity, scope, data, assumptions, deliverables, and authorization so the appraiser can price and deliver promptly.

Party Identity

Name the requesting entity, recipient firm, contact person, phone, and email to ensure a single point of contact and reduce back-and-forth.

Engagement Scope

Define the purpose (e.g., refinancing, sale, tax), effective valuation date, and whether the opinion is for fair market value, distressed sale, or other standard.

Required Financials

List precise documents to deliver (audited financial statements, interim P&L, cap table, forecast assumptions) and acceptable file formats.

Valuation Assumptions

State required discount rates, market multiples, normalization items, or any constraints on comparables to align expectations.

Deliverables

Specify report type (summary memo or formal report), electronic format, number of signed copies, and expected appendices or model files.

Authorization

Provide an explicit signature block, effective date, and any required approvals or confidentiality acknowledgements to enable execution.

Gather Documents: Collect audited statements, interim P&L, cap table, and forecasts.
  • 02
Define Scope: Specify valuation date, purpose, and required deliverables.
  • 03
Attach Exhibits: Include model files and source documents as PDFs or XLSX.

How to Configure an Online Request Workflow

Map the online workflow to document needs: formats, authentication, reminders, and storage settings ensure consistent processing.

Field Configuration

Reminder Schedule Automatic reminders at 3, 7, and 14 days.

Typical eSubmission Flow for an Update Request

A concise digital flow reduces friction: upload, tag fields, invite signers, and capture the completed report and audit record.

  • Upload Document: Upload the request and supporting exhibits.
  • Place Fields: Add signature, date, and data fields.
  • Invite Signers: Send secure signing link or email.
  • Receive Package: Signed document plus audit trail delivered.

Technical Sharing Options and Integrations

Choose tools that support required file formats and can integrate with your document systems for traceability.

  • File Formats: PDF, DOCX, XLSX supported
  • Integrations: Salesforce, NetSuite, Google Workspace
  • Authentication: Email, SMS, KBA, SSO

Ensure the platform captures an immutable audit trail and retains copies according to your retention policy and applicable regulations.

Risks and Potential Consequences

Tax Penalty: Incorrect valuation risk
Loan Covenant: Breach may trigger default
Fraud Allegations: Intentional misstatement exposure
Invalid Signature: May void authorization
Data Breach: Confidential information exposure
Late Submission: Missed financing or reporting windows

Common Preparation Mistakes to Avoid

  • Failing to attach complete financials forces follow-up and delays the valuation delivery by days or weeks.
  • Using inconsistent valuation dates between exhibits and the request creates basis-of-value disputes with the appraiser.
  • Not specifying the valuation standard of value (fair market, fair value, liquidation) leads to rework and possible invalidation.
  • Missing authorized signer or incorrect signatory authority often requires a corrected document and re-execution.

Typical Timelines and Processing Expectations

Set realistic deadlines and communicate them clearly in the request; typical turnaround varies with complexity and supporting data quality.

Set issuance date and initial contact information

Allow 7–14 calendar days for document collection

Valuation Completion:

Expect 14–30 business days depending on complexity
