What a Business Valuations Report Is and When It’s Used

A Business Valuations Report documents a professional estimate of a company’s economic value at a specific effective date. It combines financial statement analysis, market and income approaches, and adjustments for nonrecurring items to produce a reasoned conclusion of value used for transactions, financing, tax, litigation, and shareholder matters.

Why a Clear, Documented Valuation Matters

A formal valuation provides evidence for negotiating sale price, securing financing, resolving disputes, and supporting tax positions. A well-documented report reduces ambiguity, documents assumptions, and creates a defensible record for stakeholders and regulators.

Why a Clear, Documented Valuation Matters

Primary Users and Stakeholders of the Report

Different parties rely on valuation reports for specific decisions; the following groups are the most common recipients and preparers.

  • Business owners and sellers who need an independent value estimate for M&A or succession planning.
  • Lenders and investors who require documented collateral or enterprise value for credit underwriting decisions.
  • CPAs, tax advisors, and attorneys using valuation support for tax filings, disputes, or courtroom testimony.

Each group uses the report differently — for negotiation, compliance, lending, or dispute resolution — so tailor the report’s scope accordingly.

Core Elements Found in a Professional Business Valuations Report

A complete report combines narrative analysis, quantitative schedules, and source documentation so readers can trace inputs to conclusions without needing supplemental work papers.

Executive Summary

Concise statement of purpose, standard of value, effective date, and the valuation conclusion with a short rationale that orients nontechnical readers.

Company Overview

Description of business operations, ownership, key contracts, market position, and management that affect the enterprise’s risk profile and expected cash flows.

Financial Analysis

Historical and normalized financial statements, adjustments for nonrecurring items, and working capital and owner compensation reconciliations used in cash flow projections.

Valuation Approaches

Income, market, and asset approaches applied as appropriate; each method includes inputs, calculations, and explanation of weighting and reconciliation to final value.

Supporting Schedules

Detailed schedules for comparable transactions, market multiples, discount or capitalization rates, and reconciliation tables that enable review of the math.

Assumptions & Certification

Clear disclosure of assumptions, limiting conditions, scope of engagement, and the preparer’s certification, qualifications, and signature with date.

Step-by-Step: Completing a Business Valuations Report

Follow a consistent workflow from engagement to delivery to ensure completeness, accuracy, and a defensible value conclusion.

  • 01
Engagement: Define scope, standard of value, and effective date in an engagement letter.
  • 02
Collect Data: Gather audited financials, tax returns, contracts, and market data.
  • 03
Analyze: Normalize results, build forecasts, and apply valuation methods.
  • 04
Document: Prepare report, append schedules, and include preparer certification.

Where to Deliver or File the Completed Report

Delivery depends on the engagement purpose — transaction, financing, tax, or litigation — and recipients’ documentation requirements.

  • Buyer/Investor: Provide final PDF and source schedules for due diligence.
  • Lender: Submit certified copies and any required lender worksheet.
  • Tax Advisor: Supply valuation used for tax elections or estate filings.
  • Legal Counsel: Share the certified report for inclusion in legal filings.

Preparing Digital Files and eSubmission Requirements

Standardize files as searchable PDFs and include an index of schedules to streamline review and e-signing by external parties.

  • File Formats: PDF, DOCX, Excel
  • Integrations: Salesforce, NetSuite, Google Workspace
  • Audit Trail: Timestamp and IP

Typical Timelines and Delivery Expectations

Timelines vary by scope and urgency; allocate time for data collection, review, and client approval to avoid delays in downstream transactions.

Engagement Start Deadline:

Set within 1–2 weeks of signing engagement letter.

Data Submission Cutoff:

Client should deliver financials and contracts within 2–4 weeks.

Draft Report Delivery:

Preparers often deliver a draft within 3–6 weeks.

Final Report Delivery:

Allow 1–2 weeks after draft review for finalization.

Tax Filing Impact:

For estate tax purposes, valuation may be needed within Form 706 filing timelines.

Common Preparation Errors to Avoid

  • Failing to normalize owner compensation and one-time expenses, which can materially distort cash-flow projections and valuation multiples.
  • Using inappropriate comparables or stale market data, leading to unreliable market approach conclusions and reviewer skepticism.
  • Neglecting to disclose key assumptions and limiting conditions, creating ambiguity and increasing litigation risk.
  • Omitting supporting schedules and source documents, which delays reviews and invites adjustments during due diligence.

Consequences of an Inaccurate or Incomplete Report

Tax Exposure: IRS challenge and adjustments
Litigation Risk: Increased dispute exposure
Loan Denial: Financing may be refused
Reputational Harm: Stakeholder trust loss
Valuation Discounting: Downward price adjustments
Compliance Gap: Recordkeeping or disclosure failures
