BUSINESS VANITY DOCUMENT AGREEMENT

Recitals

WHEREAS, Company Name: is engaged in the business of creating and producing custom branded and decorative materials commonly described as vanity documents, plaques and display certificates (collectively, the "Materials");

WHEREAS, Client Name: desires to engage Company to design, draft and deliver a Business Vanity Document in accordance with the terms and specifications set forth in this Agreement; and

WHEREAS, the parties intend these documents to memorialize their respective rights and obligations with respect to the design, delivery, payment and limited licensure of the Materials.

Scope of Work

Company shall prepare and deliver the Materials described below in accordance with the specifications agreed by the parties. The Materials shall be delivered in the format(s) and within the timeframe set forth herein.

Payment Terms

Client shall pay Company for the Materials in the amounts and on the schedule set forth below. All amounts are payable in United States dollars unless otherwise agreed in writing.

Invoices are due Net 30 days unless otherwise specified. Past due amounts shall accrue interest at the rate set forth above and Client shall be responsible for reasonable collection costs, including attorneys' fees, incurred by Company to collect overdue amounts.

Term and Termination

This Agreement commences on the Effective Date below and, unless earlier terminated in accordance with this section, continues until the completion of the Services or the End Date below, whichever occurs first.

Either party may terminate this Agreement upon written notice if the other party materially breaches any provision and fails to cure such breach within the notice period set forth above. Termination shall not relieve Client of its obligation to pay for Services performed and Materials delivered prior to the effective date of termination.

Confidentiality

Each party may disclose Confidential Information to the other in connection with the performance of this Agreement. "Confidential Information" means non-public information that is designated as confidential or that a reasonable person would understand to be confidential under the circumstances.

Receiving party shall: (a) protect Confidential Information using at least the same degree of care it uses to protect its own confidential information but no less than reasonable care; (b) use Confidential Information solely to perform its obligations under this Agreement; and (c) not disclose Confidential Information to third parties except to employees, contractors or advisors who need to know and who are bound by confidentiality obligations no less restrictive than those herein.

Intellectual Property and License

Unless otherwise agreed in writing, Company retains all right, title and interest in and to any original designs, artwork, templates and underlying intellectual property created by Company in connection with the Materials. Upon full payment, Company grants Client a limited, non-exclusive, non-transferable license to use the final delivered Materials for the Client's internal, promotional and display purposes as specified in the Scope of Work. Any use beyond the scope requires written permission and may be subject to additional fees.

Representations; Warranties; Indemnity

Each party represents that it has the full corporate power and authority to enter into this Agreement. Client represents and warrants that Client owns or is authorized to use any marks, names, logos, photographs or other materials provided to Company for inclusion in the Materials, and Client shall indemnify and hold Company harmless from any claims arising from Client-supplied content that infringes third-party rights.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for resolution of disputes arising under this Agreement.

Entire Agreement

This Agreement, including all attachments and any written statements of work executed hereunder, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. No amendment shall be effective unless in writing and signed by authorized representatives of both parties.

Notices

Notices must be in writing and delivered to the addresses set forth above or to such other address as a party may designate in writing. Notice is effective upon personal delivery, confirmed email transmission or three (3) business days after deposit with a nationally recognized overnight courier.

Miscellaneous

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party shall assign its rights under this Agreement without the prior written consent of the other, except that Company may assign to an affiliate or in connection with a sale of substantially all of its assets.
