What a Business Variance Letter Is

A Business Variance Letter is a formal company communication that explains material differences between expected and actual results in financial statements, budgets, forecasts, or operational metrics. It identifies causes, quantifies the variance, documents corrective actions, and names responsible parties. Recipients commonly include auditors, lenders, investors, and internal governance committees. When retained with supporting reconciliations and schedules, the letter provides an auditable record used during reviews, loan covenant discussions, and formal inquiries.

Why a Clear Variance Letter Matters

A Business Variance Letter creates a documented explanation that supports auditability, clarifies management intent, reduces follow-up requests, and helps address lender or investor concerns about covenant compliance or financial accuracy.

Why a Clear Variance Letter Matters

Typical Senders and Recipients

Typical senders and recipients include corporate finance teams, external auditors, lenders, investors, and board committees seeking formal explanations for material variances.

  • Corporate finance: prepares variance letters for internal reporting and regulator or lender review.
  • External auditors: request variance documentation during financial statement review procedures.
  • Lenders/investors: use the letter to assess covenant compliance and risk explanations.

Tailor the distribution list so all parties with contractual, regulatory, or governance interest receive a copy and a clear audit trail of the explanation.

Essential Parts of a Professional Variance Letter

A well-crafted Business Variance Letter combines concise explanation, precise numbers, documented support, and clear authorizations so recipients can verify conclusions without repeated follow-up.

Authorization

Include printed name, title, signature, and date from an authorized signer to validate the statement.

Common Preparation Mistakes to Avoid

  • Omitting numerical quantification of the variance forces follow-up and weakens the letter’s utility during audits or lender reviews.
  • Using inconsistent figures versus supporting schedules causes reconciliation failures and prompts inquiries from auditors and investors.
  • Failing to name a responsible officer or contact information delays remediation and obscures accountability for corrective actions.
  • Relying on informal delivery without a signed record increases disputes about timing, content, and who approved the explanation.
