Business Variation Agreement

This Business Variation Agreement ("Agreement") is entered into as of Effective Date: by and between:

Recitals

WHEREAS, the parties entered into an original agreement entitled: dated (the "Original Agreement");

WHEREAS, the parties desire to vary certain terms of the Original Agreement as set forth in this Agreement and to confirm the remaining provisions of the Original Agreement remain in full force and effect except as expressly modified herein;

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein and for other good and valuable consideration, receipt of which is hereby acknowledged, the parties agree as follows:

1. Variation

The parties hereby agree that the Original Agreement is varied in the manner set forth in this Agreement. Except as expressly varied, the Original Agreement continues in full force and effect. Any conflict between the terms of this Agreement and the Original Agreement shall be resolved in favor of this Agreement for the matters expressly varied.

2. Scope of Work

Deliverables, milestones and acceptance criteria shall be as described above unless the parties execute a further written variation signed by authorized representatives of each party.

3. Payment Terms

Invoices shall be issued in accordance with the payment schedule above and are payable within days of receipt unless otherwise agreed in writing.

Late payments shall accrue interest at the rate of on the outstanding amount, compounded monthly, together with any costs of collection including reasonable attorneys' fees.

4. Term and Termination

This Agreement shall commence on Start Date: and shall terminate on End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Either party may terminate immediately for material breach by the other party that remains uncured for a period of 30 days after written notice of breach.

5. Confidentiality

Each party shall keep confidential and shall not disclose to any third party any Confidential Information of the other party disclosed in connection with the Original Agreement or this Agreement. "Confidential Information" means non-public business, technical and financial information disclosed in writing, orally or by inspection that is identified as confidential at the time of disclosure or that a reasonable person would understand to be confidential.

Confidentiality obligations shall continue for a period of years from the date of disclosure, except with respect to trade secrets where protection shall continue as required by applicable law.

6. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction of: without regard to conflict of law principles. The parties irrevocably submit to the exclusive jurisdiction of the courts of that jurisdiction for any dispute arising out of or relating to this Agreement.

7. Entire Agreement

This Agreement, together with the Original Agreement as varied herein, constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous understandings, proposals, negotiations and agreements, whether written or oral, relating to such subject matter. No amendment to this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

8. Miscellaneous Provisions

No waiver of any provision of this Agreement shall be effective unless in writing signed by the party against whom the waiver is asserted. If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
