BUSINESS VARIATION AGREEMENT

This Business Variation Agreement (the Agreement) records agreed variations to an existing contract between the parties set out below and is made effective as of the Effective Date set forth herein.

RECITALS

AGREEMENT

In consideration of the mutual covenants contained in this Agreement, and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the Parties agree as follows:

1. SCOPE OF WORK

The scope described above shall be performed in accordance with the standards and timelines set out in this Agreement and, except as expressly varied by this Agreement, all other obligations and warranties under the Original Agreement remain in full force and effect.

2. PAYMENT TERMS

Total Variation Amount: payable in accordance with the schedule below.

Invoices shall be issued by the Contractor upon completion of each invoicing milestone and are payable within days of receipt. Late payments shall incur interest at or the maximum rate permitted by law, whichever is lower.

3. TERM AND TERMINATION

This variation commences on Start Date: and terminates on End Date: unless earlier terminated in accordance with this clause.

Either Party may terminate this variation for material breach by the other Party if the breach is not cured within the notice period set forth above. Termination of this variation shall not, unless expressly stated, terminate the Original Agreement, and provisions that by their nature survive termination shall remain in effect.

4. CONFIDENTIALITY

Each Party acknowledges that it may receive Confidential Information from the other Party. "Confidential Information" means non-public information disclosed in connection with this Agreement, whether oral, written or electronic, that is designated as confidential or that a reasonable person would understand to be confidential. Each Party shall:

  1. use Confidential Information solely for the purpose of performing obligations under this Agreement;
  2. protect Confidential Information with at least the same degree of care it uses to protect its own confidential information but in no event less than reasonable care;
  3. not disclose Confidential Information to any third party except to employees, agents, or subcontractors who need to know the information and are bound by confidentiality obligations at least as protective as those in this Agreement.

Confidentiality obligations shall continue for a period of years from the date of disclosure, except for trade secrets which shall be protected for as long as they qualify as trade secrets under applicable law. Confidential Information does not include information that is or becomes publicly available through no fault of the receiving Party, is rightfully received from a third party without breach, or is independently developed.

5. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified above, without regard to conflicts of laws principles. The Parties submit to the exclusive jurisdiction of the courts of that jurisdiction for any dispute arising out of or relating to this Agreement.

6. ENTIRE AGREEMENT AND AMENDMENT

This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior oral and written negotiations, proposals, representations and agreements relating to the variation described herein. No amendment to this Agreement shall be effective unless made in writing and signed by authorized representatives of both Parties.

7. ASSIGNMENT

Neither Party may assign or transfer its rights or obligations under this Agreement without the prior written consent of the other Party, except that either Party may assign to an affiliate or in connection with a merger or sale of substantially all its assets provided the assignee agrees in writing to be bound by the terms of this Agreement.

8. REPRESENTATIONS

Each Party represents and warrants that it has full power and authority to enter into this Agreement and that the person signing this Agreement on its behalf is duly authorized to do so.
