BUSINESS VENDOR AGREEMENT

RECITALS

WHEREAS, Vendor Name: is engaged in the business of providing goods and services as further described in this Agreement; and

WHEREAS, Client Name: desires to retain Vendor to perform such services and Vendor agrees to provide such services under the terms and conditions set forth herein; and

WHEREAS, the parties intend that this Agreement set forth the entire understanding with respect to the subject matter hereof and supersede prior proposals, negotiations and representations.

SCOPE OF WORK

Vendor shall perform the services and deliverables described below. Vendor will use commercially reasonable efforts to complete the work in a professional and workmanlike manner in accordance with industry standards.

PAYMENT TERMS

Client shall pay Vendor the fees and expenses set forth below. All payments shall be made in United States dollars and unless otherwise provided are exclusive of taxes.

TERM AND TERMINATION

This Agreement shall commence on the Start Date set forth below and shall continue until the End Date or until terminated in accordance with this Section.

CONFIDENTIALITY

Each party (the Disclosing Party) may disclose Confidential Information to the other party (the Receiving Party). "Confidential Information" means non-public information disclosed in connection with this Agreement that is designated as confidential or that reasonably should be understood to be confidential. The Receiving Party shall: (a) use Confidential Information solely to perform its obligations under this Agreement; (b) protect Confidential Information with the same degree of care it uses to protect its own confidential information, but no less than reasonable care; and (c) not disclose Confidential Information to any third party except to employees, agents or subcontractors who need to know and who are bound by confidentiality obligations at least as protective as those contained herein. Confidential Information does not include information that: (i) is or becomes publicly available without breach; (ii) is rightfully received from a third party without restriction; (iii) is independently developed without use of Confidential Information; or (iv) is required to be disclosed by law, provided the Receiving Party gives prompt notice and cooperates with reasonable protective measures. The obligations in this Section shall survive termination of this Agreement for a period of three (3) years, or longer if required by applicable law for specific categories of information.

INDEMNIFICATION

Each party agrees to indemnify, defend and hold harmless the other party from and against any third-party claims, losses, liabilities, damages and expenses (including reasonable attorneys' fees) arising out of or resulting from the indemnifying party's breach of this Agreement, willful misconduct or negligent acts or omissions. The indemnified party shall provide prompt written notice of any claim and shall cooperate in the defense at the indemnifying party's expense.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction identified below, without regard to conflict of law principles.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, including any exhibits and schedules attached hereto, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals and understandings, whether written or oral. No amendment or modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

Neither party may assign its rights or delegate its duties under this Agreement without the prior written consent of the other party, except that either party may assign this Agreement in connection with a merger, sale of substantially all assets, or corporate reorganization. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. The parties acknowledge that monetary damages may be inadequate to remedy a breach of confidentiality and that injunctive relief may be appropriate in addition to other remedies.
