Whereas Recitals

WHEREAS, Client requires certain goods and/or services as described herein and desires to engage Vendor for the performance of such goods and/or services on the terms set forth in this Agreement; and

WHEREAS, Vendor represents that it has the expertise, capacity, personnel, licenses and insurance necessary to provide the required goods and/or services and agrees to perform in accordance with the scope and standards described in this document; and

WHEREAS, the parties intend for this Business Vendor Brief to define scope, deliverables, pricing, timelines, confidentiality obligations and other commercial terms governing their relationship.

Vendor shall perform the services and deliver the deliverables described below. All work shall conform to reasonable commercial standards and the specifications set forth in this section.

Payment Terms

Client shall pay Vendor the compensation described below for performance of the Scope of Work. Vendor shall submit invoices in accordance with the schedule below and Client shall pay undisputed amounts within the payment period specified.

Invoices shall itemize work performed and expenses. Client may withhold payment for material breaches and shall notify Vendor in writing of any disputed amounts within the net payment period stated above; undisputed portions remain payable.

Term and Termination

The term of this Agreement shall commence on Start Date: and continue until End Date: , unless earlier terminated in accordance with this section.

Either party may terminate upon written notice if the other party materially breaches this Agreement and fails to cure within the notice period. Termination for insolvency, illegality, or material safety breach is immediate. Upon termination Client shall pay Vendor for all work performed and reimbursable expenses through the effective date of termination.

Confidentiality

Each party (Receiving Party) shall hold in strict confidence all proprietary or confidential information disclosed by the other party (Disclosing Party), including pricing, technical data, business plans, and personnel information, whether disclosed orally, in writing, or electronically. Confidential information does not include information that is or becomes publicly available through no fault of the Receiving Party, is rightfully received from a third party without restriction, or is independently developed by the Receiving Party without use of the Disclosing Party's confidential information.

The Receiving Party shall limit disclosure to employees and contractors who have a need to know and are bound by confidentiality obligations at least as protective as those herein. Upon expiration or termination of the Agreement, the Receiving Party shall return or destroy confidential materials as directed by the Disclosing Party and certify such destruction upon request.

Insurance and Compliance

Vendor shall maintain, at its expense, insurance coverage customary for the services performed including commercial general liability and, where applicable, professional liability and workers' compensation. Vendor shall provide certificates of insurance upon request and shall comply with all applicable laws, regulations and industry standards in performing the services.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles. Venue for any dispute arising under this Agreement shall lie exclusively with the state or federal courts located in that state, unless the parties mutually agree otherwise in writing.

Entire Agreement and Miscellaneous

This Agreement, including any exhibits or attachments and any purchase orders referencing this Agreement, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, representations and communications, whether oral or written. No amendment shall be effective unless in writing and signed by authorized representatives of both parties.

Neither party may assign this Agreement without the prior written consent of the other party, except that Client may assign this Agreement to an affiliated entity or in connection with a sale of substantially all of Client's assets. If any provision of this Agreement is held unenforceable, the remaining provisions shall remain in full force and effect.
