WHEREAS, Provider agrees to perform certain services for Client as described herein and the parties intend for this Verbal Agreement to memorialize the essential terms agreed between them; and

Payment Terms

Client shall pay Provider the total compensation in the amount of USD for the services described in this Agreement. Payments shall be due in accordance with the following schedule:

Any amount not paid when due shall bear interest at the lesser of 1.5% per month (18% per annum) or the maximum rate permitted by law, together with reasonable costs of collection, including attorneys' fees.

Term and Termination

This Agreement commences on the Start Date of and, unless earlier terminated in accordance with this Section, shall continue until the End Date of .

Either party may terminate this Agreement for convenience upon written notice to the other party at least days prior to the effective date of termination. Either party may terminate immediately for material breach if the breaching party fails to cure within a commercially reasonable cure period of not less than 10 days following written notice of breach.

Confidentiality

Each party shall keep confidential all non-public information disclosed by the other party in connection with this Agreement, whether oral, written or electronic, that is designated confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Confidential Information excludes information that: (a) is or becomes publicly known through no breach of this Agreement; (b) is rightfully received from a third party without restriction; (c) is independently developed without use of the other party’s Confidential Information; or (d) is required to be disclosed by law, provided the disclosing party gives prompt notice and cooperates with reasonable protective measures.

Warranties and Limitation of Liability

Provider warrants that it will perform services in a professional and workmanlike manner consistent with industry standards. EXCEPT FOR THE FOREGOING WARRANTY, SERVICES ARE PROVIDED "AS IS" AND NEITHER PARTY MAKES ANY OTHER WARRANTIES, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL EITHER PARTY'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT EXCEED THE TOTAL AMOUNTS PAID OR PAYABLE TO PROVIDER UNDER THIS AGREEMENT DURING THE SIX (6) MONTHS PRECEDING THE CLAIM.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. Any action to enforce this Agreement shall be brought in the courts located in that State, and the parties consent to personal jurisdiction and venue therein.

Entire Agreement

This written confirmation sets forth the entire agreement of the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and communications, whether oral or written. No amendment shall be effective unless in writing and signed by both parties.
