BUSINESS VERBIAGE TEMPLATE

This Business Verbiage Template (the "Agreement") is entered into as of between Client Name: , with address , and Service Provider Name: , with address .

RECITALS

WHEREAS, Client desires to engage Provider to prepare, refine and deliver business verbiage, messaging frameworks, and associated deliverables to support Client's commercial activities as set forth in this Agreement; and

WHEREAS, Provider represents that it possesses the requisite experience, personnel, and capability to perform the Services described in this Agreement and agrees to perform such Services in accordance with the terms and conditions set forth herein.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows.

SCOPE OF WORK

PAYMENT TERMS

Compensation: Client shall pay Provider a total fee of USD for the Services described herein.

Invoicing and Payment Terms: Provider will invoice Client in accordance with the Payment Schedule. Unless otherwise agreed in writing, Client shall pay invoiced amounts within days of receipt of an undisputed invoice.

Late Payment: Overdue amounts shall accrue interest at a rate of , or the maximum rate permitted by law, whichever is lower. Client shall also reimburse Provider for reasonable collection costs.

TERM AND TERMINATION

Term: This Agreement commences on and continues until , unless earlier terminated in accordance with this Section.

Termination for Convenience: Either party may terminate this Agreement for convenience upon providing days' prior written notice to the other party.

Termination for Cause: Either party may terminate this Agreement immediately upon written notice if the other party materially breaches this Agreement and fails to cure such breach within 30 days after receipt of written notice specifying the breach.

CONFIDENTIALITY

Definition: "Confidential Information" means non-public information, whether oral, written or electronic, disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure.

Obligation: Each party shall hold Confidential Information of the other in strict confidence, shall not disclose it to third parties except as expressly permitted by this Agreement, and shall use it only for the purposes of performing its obligations under this Agreement. The receiving party shall take reasonable measures to protect such Confidential Information, at least equivalent to measures it uses to protect its own confidential information.

Exclusions: Confidential Information does not include information that is (a) already known to the receiving party without obligation of confidentiality, (b) publicly available through no fault of the receiving party, (c) independently developed by the receiving party, or (d) rightfully obtained from a third party without restriction.

Return or Destruction: Upon termination of this Agreement or upon written request, the receiving party shall return or destroy Confidential Information of the disclosing party and certify in writing as to such return or destruction, except to the extent retention is required by applicable law.

INTELLECTUAL PROPERTY AND LICENSE

Ownership: Unless otherwise agreed in writing, Provider retains ownership of all pre-existing intellectual property and methodologies. Upon full payment of all fees due under this Agreement, Provider grants Client a perpetual, non-exclusive, non-transferable license to use the final deliverables solely for Client’s internal business purposes as described in the Scope of Work.

Moral Rights: To the extent permitted by law, Provider hereby waives and agrees not to assert any moral rights in the deliverables against Client.

LIMITATION OF LIABILITY

In no event shall either party be liable to the other for incidental, consequential, special or punitive damages arising out of or related to this Agreement, whether in contract, tort or otherwise, even if advised of the possibility of such damages. Provider's aggregate liability for claims arising under this Agreement shall not exceed the total fees paid by Client to Provider under this Agreement.

GOVERNING LAW; DISPUTE RESOLUTION

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of , without regard to choice of law principles.

Dispute Resolution: The parties shall attempt in good faith to resolve any dispute arising out of or relating to this Agreement. If the dispute is not resolved within 30 days, either party may pursue any remedy available at law or in equity.

ENTIRE AGREEMENT; AMENDMENT

Entire Agreement: This Agreement, together with any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, or representations, whether written or oral.

Amendment: Any modification or amendment to this Agreement must be in writing and signed by authorized representatives of both parties.

NOTICES

MISCELLANEOUS

Severability: If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Assignment: Neither party may assign this Agreement without the prior written consent of the other party, except that Provider may assign this Agreement to an affiliate or in connection with a merger or sale of substantially all of its assets.
