Business Vertical Agreement

This Business Vertical Agreement ("Agreement") is entered into as of by and between Client Name: with principal address: and Service Provider Name: with principal address:

WHEREAS

WHEREAS, Client operates within a particular business vertical and requires specialized services to support vertical-specific product development, go-to-market activities, or operational support; and

WHEREAS, Service Provider represents that it possesses the technical expertise, industry knowledge, and resources necessary to perform the services described in this Agreement and is willing to provide such services subject to the terms and conditions set forth herein.

SCOPE OF WORK

Deliverables shall include any reports, designs, software, documentation, or other materials expressly identified in the Description of Services. Service Provider shall perform the Services in a professional and workmanlike manner consistent with industry standards applicable to the business vertical.

PAYMENT TERMS

All payments are due in accordance with the Payment Schedule. If any undisputed amount remains unpaid beyond the due date, interest shall accrue at the rate specified above and Service Provider may suspend performance after providing five (5) business days' written notice.

TERM AND TERMINATION

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon providing the other party the notice period specified above. Either party may terminate immediately for material breach if the breaching party fails to cure such breach within thirty (30) days after receipt of written notice describing the breach.

CONFIDENTIALITY

"Confidential Information" means all non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Each party shall: (a) use Confidential Information only to perform its obligations under this Agreement; (b) restrict disclosure of Confidential Information to those employees, contractors, or agents who need to know and who are bound by confidentiality obligations at least as protective as those in this Agreement; and (c) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information, but in no event less than a reasonable degree of care.

INTELLECTUAL PROPERTY

Unless otherwise agreed in writing, Service Provider grants to Client a non-exclusive, perpetual, worldwide license to use deliverables produced under this Agreement for Client's internal business purposes related to the business vertical. Service Provider warrants that it has the right to deliver and license the deliverables and that deliverables will not infringe third-party intellectual property rights.

INDEMNIFICATION AND LIABILITY

Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims arising out of the indemnifying party's negligence, willful misconduct, or breach of this Agreement. Except for claims arising from a party's gross negligence or willful misconduct, neither party's aggregate liability to the other for claims arising under this Agreement shall exceed the total fees paid by Client to Service Provider under this Agreement during the twelve (12) months preceding the claim.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflicts of law principles. Any dispute arising out of or relating to this Agreement shall be resolved in courts of competent jurisdiction in that state unless the parties mutually agree to arbitration in writing.

ENTIRE AGREEMENT

This Agreement, including any exhibits or schedules attached hereto and referenced herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether oral or written. No amendment to this Agreement shall be effective unless in writing and signed by both parties.

MISCELLANEOUS

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other party, except that either party may assign to an affiliate or in connection with a merger or sale of substantially all of its assets.
