BUSINESS VIRTUAL DOORMAN AGREEMENT

This Business Virtual Doorman Agreement (the "Agreement") is made and entered into as of the Effective Date by and between:

WHEREAS

WHEREAS, Client operates or manages a commercial property or business premises and desires remote access-control, visitor management, package handling notifications, and 24-hour virtual doorman services; and

WHEREAS, Service Provider is engaged in the business of providing virtual doorman, remote monitoring, and access-management services and represents that it has the personnel, systems, and lawful authority necessary to provide such services in accordance with the terms of this Agreement; and

WHEREAS, the parties desire to set forth the terms and conditions under which Service Provider will provide virtual doorman services to Client commencing on the Effective Date.

SCOPE OF WORK

Service Provider shall perform the virtual doorman services described below at the premises identified by Client and in accordance with all applicable laws, building policies, and the specifications set forth in this Agreement.

Core services shall include, at a minimum: remote access control and entry authorization; live audio/video verification of visitors; electronic visitor logging and badge issuance; package handling notifications and photo capture; incident reporting and escalation to designated Client contacts; basic tenant and vendor verification. Additional services, integrations with building systems, or hardware provisioning will be documented as an addendum to this Agreement.

PAYMENT TERMS

Monthly Quarterly Annual

Invoices are due within the number of days indicated above from the invoice date. All fees are exclusive of applicable taxes which shall be the responsibility of Client unless otherwise stated in writing.

Late payments shall incur interest at the rate specified above per month on the outstanding balance, or the maximum rate permitted by law, whichever is lower. Client agrees to reimburse Service Provider for reasonable costs of collection including attorney fees.

This Agreement shall renew automatically for successive terms of equal duration unless either party delivers written notice of non-renewal as provided below.

Either party may terminate this Agreement for convenience upon providing the other party the number of days' written notice set forth above. Either party may terminate immediately for material breach that remains uncured for thirty (30) days after written notice of such breach, or immediately for breaches involving unlawful access, willful misconduct, or gross negligence.

CONFIDENTIALITY

Each party shall maintain as confidential all non-public information disclosed by the other party in connection with this Agreement, including but not limited to access logs, video footage, tenant and visitor records, authentication credentials, and incident reports ("Confidential Information"). Confidential Information shall not be disclosed except to employees, contractors, or agents who have a need to know and who are bound by confidentiality obligations at least as protective as those herein. Confidential Information shall not include information that: (a) is or becomes publicly known through no breach of this Agreement; (b) was lawfully in the receiving party's possession prior to disclosure; or (c) is independently developed without use of the disclosing party's Confidential Information.

Upon termination or expiration of this Agreement, each party shall return or destroy Confidential Information of the other party and certify such destruction upon request, except to the extent retention is required by law or for backup/archive purposes consistent with reasonable security practices.

LIMITATION OF LIABILITY AND INSURANCE

Except for liability arising from willful misconduct, gross negligence, or breaches of confidentiality, neither party shall be liable to the other for incidental, consequential, special, or punitive damages. Service Provider's aggregate liability for any claim arising under or relating to this Agreement shall not exceed the total fees paid by Client to Service Provider under this Agreement in the twelve (12) months preceding the claim.

Service Provider shall maintain general liability insurance and cyber/liability insurance in commercially reasonable limits and shall provide certificates of insurance to Client upon request.

INDEMNIFICATION

Each party shall indemnify, defend, and hold harmless the other party from and against all third-party losses, liabilities, damages, costs, and expenses (including reasonable attorney's fees) arising from the indemnifying party's breach of this Agreement, negligence, or willful misconduct. The indemnified party shall provide prompt notice of any claim and reasonable cooperation in the defense thereof.

DATA HANDLING AND LAW ENFORCEMENT

Service Provider will handle video, audio, and visitor data in accordance with industry-standard security practices. Service Provider may comply with lawful requests from law enforcement or other governmental authorities; to the extent practicable, Service Provider will notify Client of such requests unless prohibited by law.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles.

ENTIRE AGREEMENT

This Agreement, together with any addenda, exhibits, or schedules attached hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. No amendment or modification shall be effective unless in writing and signed by authorized representatives of both parties.

NOTICES

Notices under this Agreement shall be made in writing and delivered to the addresses set forth above or such other address as a party may designate in writing.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. The parties are independent contractors and nothing in this Agreement creates a partnership, joint venture, or agency relationship unless expressly stated in writing.
