Recitals

WHEREAS, Client engages Consultant to develop and document a concise Business Vision Statement and related strategic elements to guide Client's business planning and operations; and

WHEREAS, Consultant has represented that it possesses the necessary skills, experience and personnel to prepare the Vision Statement and related deliverables described in this agreement; and

WHEREAS, the parties desire to set forth the scope, deliverables, compensation, confidentiality and the terms upon which the Vision Statement will be created and accepted.

Scope of Work

Consultant shall perform the services described below and deliver the listed items to Client. Consultant's obligations shall include research, stakeholder interviews, drafting, revisions and final documentation of the Vision Statement and associated components.

Term and Termination

Either party may terminate this agreement for material breach by the other party upon written notice and a cure period of: days.

Upon termination, Consultant shall deliver all completed work and Client shall pay for all work performed through the effective date of termination in accordance with the Payment Terms.

Confidentiality

Each party shall maintain in strict confidence all non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Confidential Information excludes information that (a) is or becomes publicly known through no breach; (b) is rightfully received from a third party without restriction; (c) was already known by the receiving party without restriction; or (d) is independently developed without use of Confidential Information.

The receiving party shall use Confidential Information solely for the purposes of performing under this agreement and shall not disclose Confidential Information except to employees, contractors or advisors who have a need to know and who are bound to confidentiality obligations at least as restrictive as those herein.

Acceptance; Revisions; Delivery

Consultant will deliver a draft Vision Statement for Client review. Client may request up to rounds of reasonable revisions without additional fee. Final acceptance shall occur when Client provides written approval of the final deliverable.

Representations and Warranties; Liability

Each party represents that it has the full right, power and authority to enter into and perform this agreement. Consultant warrants that deliverables will be original and will not infringe third-party intellectual property rights. Except for the foregoing warranty, services and deliverables are provided "AS IS." Neither party shall be liable to the other for incidental, consequential or punitive damages. Consultant's aggregate liability shall not exceed the total fees paid by Client under this agreement.

Governing Law

This agreement shall be governed by and construed in accordance with the laws of the State of without regard to its choice-of-law rules.

Entire Agreement

This document constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals, statements of work and communications, whether oral or written. Any amendment must be in writing and signed by authorized representatives of both parties.
