What the Business VOA Document Is and when it’s used

The Business VOA Document (Verification of Authority) is a written statement that confirms an individual or representative has the legal authority to act on behalf of a business entity. It names the company and authorized person, describes the scope and limits of authority, and records effective and expiration dates where applicable. VOA documents are commonly requested by banks, vendors, regulatory bodies, and counterparties to permit account access, contract execution, licensing, or compliance filings; they are often accompanied by corporate minutes, board resolutions, or formation documents to verify authority.

Why a clear VOA matters for transactions and compliance

A Business VOA Document reduces third-party risk by documenting who may bind the company and under what terms. Properly executed VOAs are admissible under the ESIGN Act (15 U.S.C. ch. 96) and in UETA-adopting states when legal requirements are satisfied.

Why a clear VOA matters for transactions and compliance

Who typically completes or requests a Business VOA

Typical users and signing parties for a Business VOA Document vary by transaction and industry.

  • Company officers and directors — authorize corporate actions, banking access, and contract execution.
  • Registered agents and corporate counsel — execute documents for legal matters or administrative filings.
  • Banks, lenders, and vendors — require VOA to accept someone else’s signatures or open accounts.

Confirm that signers’ names and titles match corporate records; discrepancies cause delays or rejection.

Step-by-step: prepare and finalize a Business VOA

Follow these sequential steps to prepare, verify, and complete a Business VOA Document for in-person or electronic execution.

  • 01
Prepare Document: Insert parties, scope, effective and expiration dates.
  • 02
Gather Proof: Attach photo ID, corporate resolution, and entity formation records.
  • 03
Choose Signature Method: Decide between e-signature, RON, or in-person notarization.
  • 04
Record and Distribute: Provide certified copies to banks and relevant counterparties.

Configuring an electronic workflow for a VOA

Key workflow settings ensure consistent verification, authentication, and archival when completing the VOA online.

Field Configuration
Authentication Email link plus optional SMS code
Conditional Fields Enable for limited or revocable authority
Template Save as reusable template for repeat use
Audit Trail Enable timestamps, IP, and signer actions

Where to send the executed VOA and typical routes

Recipients and filing destinations depend on the transaction; route certified copies to parties that rely on the authorization.

  • Bank & Financial Institutions: Provide notarized or e-signed VOA to authorize account access.
  • Vendors and Contractors: Supply VOA when agents sign procurement or service contracts.
  • State Agencies: File with Secretary of State only if statute or agency requires.
  • Internal Corporate Records: Retain certified copy in the corporate minute book.

Delivery options and technical requirements

Choose secure authentication, file formats, and integrations based on recipient requirements and internal controls.

  • Integrations: Salesforce, NetSuite, Microsoft 365 and other platforms
  • File Formats: PDF and DOCX formats supported for upload
  • Authentication: Email links, SMS codes, or stronger KBA where required

Security and compliance considerations for electronic VOAs

Encryption: TLS 1.2/1.3 in transit
Data at Rest: AES-256 encrypted storage
Certifications: SOC 2 Type II and ISO 27001
HIPAA Support: HIPAA compliant with BAA
Regulatory: 21 CFR Part 11 compatibility
Accessibility: WCAG 2.0 Level AA

Consequences of an incorrect or incomplete VOA

Contract Risk: Agreement may be unenforceable
Third-Party Reliance: Counterparty may refuse transaction
Fraud Exposure: Unauthorized acts could create liability
Regulatory Scrutiny: Noncompliance may invite audits
Operational Delay: Processing and onboarding stalls
Re-execution Costs: Time and legal fees increase

Common mistakes to avoid when preparing a VOA

  • Using informal or abbreviated business names instead of the registered legal entity name leads to verification failures and rework.
  • Omitting the exact scope of authority invites disputes about whether an agent could sign contracts or grant access to accounts.
  • Failing to attach corporate resolutions or formation documents often causes banks and vendors to reject the VOA.
  • Relying on unsigned or poorly dated VOA copies can result in transaction delays and additional identity checks.

Core elements that make a VOA legally reliable

Include these elements to help counterparties accept the VOA and to reduce downstream verification friction.

Identity verification

Clear identification of the authorized person, including government ID reference and contact details for verification purposes.

Scope definition

Effective dates

Explicit start and end dates, and any conditions that trigger termination or renewal of authority.

Supporting records

Attached corporate minutes, board resolutions, or certificates confirming delegation of authority and corporate approval.

Notarization options

Notary acknowledgement or RON session details when required by the receiving party for additional assurance.

Audit trail

Record of signatures, timestamps, IP addresses, and verification steps to support dispute resolution.

Describe authority precisely
Specify exact powers, limits, and any monetary caps to reduce ambiguity and prevent unauthorized commitments or contractual disputes.
Include supporting documentation
