WHEREAS Recitals

WHEREAS, Service Provider is engaged in the business of providing hosted voice, telephony infrastructure, and related professional services to commercial customers; and

WHEREAS, Client desires to retain Service Provider to supply business voice services described in this proposal under the terms and conditions set forth below; and

WHEREAS, Service Provider agrees to provide such services upon the terms set forth in this Business Voice Proposal, and the parties intend that this Proposal constitute an agreement when accepted by Client signature below.

Scope of Work

Service Description: Provide hosted business voice services including call routing, DID provisioning, voicemail, call recording (if selected), and administrative portal access. Service Provider shall perform the tasks and deliverables described below.

Payment Terms

Total Fees for Services and Equipment are set forth as follows. All fees are exclusive of applicable taxes, which shall be paid by Client unless exempt.

Late Payment: If any undisputed invoice is not paid within days after the invoice due date, Client shall pay interest at the lesser of per month or the maximum rate permitted by law, plus reasonable collection costs.

Either party may terminate this Agreement for convenience upon days' prior written notice. Either party may terminate immediately for material breach that remains uncured for days following written notice of such breach.

Upon termination, Client shall pay for all services rendered and non‑cancelable charges incurred through the effective termination date. Service Provider shall provide reasonable assistance to transition services back to Client or a replacement provider at Client's expense.

Confidentiality

Each party acknowledges that it may receive Confidential Information from the other party. "Confidential Information" means non-public business, technical, financial, or customer information disclosed in connection with this Proposal. Each party shall: (a) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care; (b) use Confidential Information solely to perform obligations under this Proposal; and (c) not disclose Confidential Information to third parties except to employees, contractors, or advisors with a need to know who are bound by confidentiality obligations. Confidentiality obligations shall survive termination for a period of three (3) years, except for trade secrets where protection shall continue as provided by law.

Limitation of Liability (Commercial Terms)

Except for liability resulting from a party's gross negligence or willful misconduct, each party's aggregate liability arising out of or related to this Proposal shall not exceed the total fees paid or payable by Client under this Proposal in the twelve (12) months preceding the claim. Neither party shall be liable for indirect, incidental, special or consequential damages, including lost profits.

Governing Law and Dispute Resolution

This Proposal shall be governed by and construed in accordance with the laws of the state of , without regard to its conflict of law principles. The parties shall attempt to resolve disputes in good faith prior to initiating litigation; remedies shall be determined in a court of competent jurisdiction in the chosen state.

Entire Agreement

This Business Voice Proposal, together with any mutually executed attachments or exhibits and the signature of Client below, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior proposals, understandings and communications, whether written or oral. Any amendment must be in writing and signed by authorized representatives of both parties.
