Recitals

WHEREAS, Client desires to engage Service Provider to perform certain vendor operations, oversight and service activities described herein; and

WHEREAS, Service Provider represents that it has the necessary experience, personnel and resources to provide such services in accordance with the terms of this Agreement; and

WHEREAS, the parties intend that the services, payment terms, confidentiality obligations and other material terms be set forth in this Business VOSA Document.

Scope of Work

Service Provider shall perform the services and deliverables described below. The parties may attach schedules or statements of work that detail specific tasks, deliverables, acceptance criteria and milestones. Any changes to the Scope of Work shall be made only by a written amendment signed by both parties.

Payment Terms

Client shall pay Service Provider for the services set forth in the Scope of Work in accordance with the following terms.

Unless otherwise agreed in writing, payments not received within the period set forth above shall bear interest at the rate specified in the Late Fee field and Client shall be responsible for reasonable costs of collection, including attorneys' fees.

Term and Termination

The term of this Agreement shall commence on and shall continue until unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon providing the other party with days' prior written notice. Either party may terminate for material breach if the breach is not cured within thirty (30) days after written notice specifying the breach. Termination shall not relieve Client of its obligation to pay for services performed and expenses incurred through the effective date of termination.

Confidentiality

For purposes of this Agreement, Confidential Information means any non-public information disclosed by one party to the other, whether disclosed orally, visually or in writing, that is designated as confidential or that a reasonable person would understand to be confidential given the nature of the information.

Each receiving party shall: (a) hold Confidential Information in strict confidence and protect it with at least the same degree of care it uses to protect its own confidential information but in no event less than reasonable care; (b) use Confidential Information solely to perform its obligations under this Agreement; and (c) not disclose Confidential Information to any third party except to employees, contractors and advisors who have a need to know and who are bound by confidentiality obligations at least as protective as those herein.

The foregoing obligations shall not apply to information that: (i) is or becomes generally known to the public through no fault of the receiving party; (ii) is rightfully received by the receiving party from a third party without restriction; (iii) is independently developed by the receiving party without use of or reference to the disclosing party's Confidential Information; or (iv) is required to be disclosed by law, provided that the receiving party gives prompt notice to the disclosing party to permit it to seek protective measures.

Representations; Indemnity

Each party represents that it has full power and authority to enter into this Agreement and to perform its obligations hereunder. Service Provider shall perform services in a professional and workmanlike manner in accordance with industry standards. Service Provider shall indemnify and hold harmless Client from and against claims, liabilities and expenses arising from Service Provider's negligent acts or willful misconduct in the performance of services under this Agreement.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to choice of law principles.

Entire Agreement and Amendments

This Agreement, together with any exhibits, schedules and statements of work, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, representations and understandings, whether written or oral. No amendment or modification of this Agreement shall be effective unless in writing and signed by an authorized representative of each party.

Notices

All notices, requests, consents and other communications under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as a party may designate by notice to the other party.

Miscellaneous

If any provision of this Agreement is held unenforceable, the remaining provisions will remain in full force and effect and the unenforceable provision will be reformed to the extent necessary to make it enforceable. Neither party may assign this Agreement without the prior written consent of the other party, except to an affiliate or in connection with a merger or sale of substantially all assets, provided the assignee assumes all obligations hereunder.
