WHEREAS, the parties desire to set forth the procedures, documentation requirements, and payment terms governing issuance and redemption of business vouchers under this Agreement.

Either party may terminate this Agreement for convenience upon written notice to the other party at least days in advance. Termination for material breach shall be effective immediately upon written notice if the breach is not cured within days after receipt of notice.

CONFIDENTIALITY

Each party shall maintain as confidential all non-public information disclosed by the other party in connection with vouchers, invoices, financial records and related supporting documentation. Confidential information shall not be used or disclosed except as necessary to fulfill obligations under this Agreement, or as required by law, in which event the disclosing party shall provide prompt notice to the other party to allow seeking protective measures.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction mutually selected by the parties at the time of execution. The parties acknowledge that venue for any dispute arising under this Agreement shall be in the state and federal courts located in the selected jurisdiction.

ENTIRE AGREEMENT

This Agreement, together with any attached voucher documentation and referenced purchase orders or invoices, constitutes the entire agreement between the parties with respect to the issuance and redemption of vouchers and supersedes all prior agreements, understandings, and communications, whether written or oral, relating to the same subject matter. Any amendment must be in writing and signed by authorized representatives of both parties.

DECLARATION & CERTIFICATION

The undersigned certify that the goods or services described herein were performed or supplied in accordance with applicable agreements and that the amounts claimed are true, correct, and eligible for payment. The Issuer reserves the right to withhold payment pending verification of supporting documentation.
