Essential Elements to Include in a Professional Template

Authority Limits

Specify monetary thresholds, categorical permissions, and duration. Include whether authority is concurrent with other agents and any required pre-approvals to prevent unauthorized commitments and procedures for escalation during emergencies.

Revocation Terms

State clear revocation procedure, required notice period, and how revocation is communicated. Include signature or notarized acknowledgment to avoid disputes and specify responsible parties for recording revocation in corporate systems.

Notarization

Indicate whether notarization or witnesses are required by state law or company policy, and include fields for notary acknowledgment, seal, and retention of the notarial record.

Signature Block

Provide distinct signature lines for principals and agents, printed name, title, and date. Specify if electronic signatures are permitted and the accepted authentication method for each signer.

Supporting Documents

List required attachments such as articles of incorporation, board resolutions, identification documents, and corporate bylaws excerpts to verify authority and link to source documents electronically.

Administrative Metadata

Include fields for document ID, version, preparer, approver, and storage location. Use consistent naming conventions to support search, audit, and lifecycle management and retention scheduling.
