BUSINESS VSO DOCUMENT

Recitals

This Agreement is entered into as of Effective Date: by and between Client Name: , having its principal place of business at (hereinafter "Client"), and Provider Name: , having its principal place of business at (hereinafter "Provider").

WHEREAS, Client requires certain vendor services and operational support as described below; and

WHEREAS, Provider represents that it has the experience, personnel, and resources required to perform the services; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the performance, payment and confidentiality of the services.

Scope of Work

Provider shall perform the services and deliverables described in this Section in a professional and workmanlike manner in accordance with industry standards. The parties agree that the initial scope is as follows. Any changes to scope shall be documented and signed by authorized representatives of both parties prior to commencement of changed work.

Payment Terms

Client shall pay Provider the fees as set forth below in consideration for the full performance of the Scope of Work. All amounts are due in United States dollars. Unless otherwise agreed in writing, fees are non-refundable.

Term and Termination

This Agreement shall commence on Start Date: and continue until End Date: , unless earlier terminated in accordance with this Section.

Termination for Cause: Either party may terminate this Agreement immediately upon written notice if the other party materially breaches any provision of this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach. Termination shall not relieve the Client of the obligation to pay for services performed prior to termination.

Confidentiality

"Confidential Information" means non-public information disclosed by one party to the other, whether in oral, written, graphic, electronic or other form, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information includes, without limitation, business plans, customer information, pricing, and technical information.

Each party shall: (a) hold the other party's Confidential Information in strict confidence using at least the same degree of care it uses to protect its own confidential information but in no event less than reasonable care; (b) not disclose Confidential Information to any third party except as permitted by this Agreement; and (c) use Confidential Information only for the purpose of performing its obligations under this Agreement.

Intellectual Property and Work Product

Unless otherwise agreed in writing, Provider assigns to Client all right, title and interest in and to all deliverables and work product developed specifically for Client under this Agreement. Provider retains ownership of its pre-existing materials, tools, software and methodologies, and grants Client a non-exclusive license to any Provider pre-existing materials embedded in the deliverables solely to the extent necessary to use the deliverables.

Indemnification and Limitation of Liability

Each party shall defend, indemnify and hold harmless the other party from and against any third party claims arising out of its negligence, willful misconduct or breach of this Agreement. Except for gross negligence or willful misconduct, neither party shall be liable to the other for special, incidental, consequential or punitive damages. The aggregate liability of either party under this Agreement shall not exceed the total fees paid or payable to Provider under this Agreement in the twelve (12) months preceding the claim.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for any dispute arising under this Agreement.

Entire Agreement

This Agreement, including all attachments and statements of work executed under it, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals, or representations, whether written or oral. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a party may designate in writing. Notice is effective upon receipt.
