BUSINESS WA TEMPLATE

This Business Work Agreement (the "Agreement") is entered into as of the Effective Date by and between Client Name: with principal address: (the "Client"), and Contractor Name: with principal address: (the "Contractor"). Both Client and Contractor may be referred to collectively as the "Parties."

RECITALS

WHEREAS, the Client desires to engage the Contractor to perform certain services described herein and the Contractor has represented that it possesses the skills, experience, and resources to perform such services in a professional manner; and

WHEREAS, the Parties wish to set forth the terms and conditions under which the Contractor will provide services to the Client, including the scope of work, payment terms, confidentiality, term and termination, and other material provisions set forth below.

SCOPE OF WORK

The Contractor will perform the services described in the Detailed Scope of Work and will provide all labor, materials, equipment, and supervision necessary to complete the services in a timely, professional, and workmanlike manner consistent with industry standards.

PAYMENT TERMS

Late Payment Fee: If any amount due under this Agreement is not paid within the Payment Due period, the Client shall pay interest at the rate of % per month on the overdue balance, compounded monthly, or the maximum rate permitted by applicable law, whichever is less.

All payments shall be made in lawful currency and made to the Contractor at the following remittance address:

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated as provided below.

Either Party may terminate this Agreement for convenience upon written notice to the other Party delivered at least days prior to the effective date of termination. Either Party may terminate immediately for cause if the other Party materially breaches any obligation under this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach.

CONFIDENTIALITY

Each Party (the "Receiving Party") acknowledges that during performance of this Agreement it may receive Confidential Information from the other Party (the "Disclosing Party"). "Confidential Information" means all non-public information disclosed by the Disclosing Party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

The Receiving Party shall: (a) hold Confidential Information in strict confidence and use at least the same degree of care it uses to protect its own confidential information but no less than reasonable care; (b) not disclose Confidential Information to any third party except to its employees, agents, or subcontractors who have a need to know and who are bound by confidentiality obligations at least as protective as those herein; and (c) use Confidential Information solely for the performance of this Agreement. Confidential Information does not include information that: (i) is or becomes publicly available through no fault of the Receiving Party; (ii) was known to the Receiving Party prior to disclosure; (iii) is rightfully received from a third party without breach of an obligation of confidentiality; or (iv) is independently developed by the Receiving Party without use of the Disclosing Party's Confidential Information.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The Parties submit to the exclusive jurisdiction of the state and federal courts located within that State for the resolution of disputes arising out of or relating to this Agreement.

ENTIRE AGREEMENT

This Agreement, together with any exhibits or schedules expressly incorporated by reference, constitutes the entire agreement between the Parties regarding the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. No amendment or modification of this Agreement is effective unless in writing and signed by authorized representatives of both Parties.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the Parties at the addresses set forth above, or to such other address as a Party may designate by written notice. Notices are effective upon receipt.
