This Business Walker Document (the Agreement) is made effective as of by and between Client Name: and Walker Name: .

Recitals (WHEREAS)

WHEREAS, Client engages Walker to perform specified business walking and on-site errands, observational tasks, and related services described below; and

WHEREAS, Walker represents that Walker has the experience, skills, and necessary insurance to perform the services as an independent contractor and agrees to comply with the terms set forth herein; and

WHEREAS, the parties desire to set forth their respective rights and obligations in writing in order to avoid misunderstandings and preserve confidential information.

Walker shall perform the following services for Client in a professional manner consistent with industry standards:

Additional tasks, locations, or changes to frequency of service shall be documented in writing and agreed to by both parties as an amendment to this Agreement.

Payment Terms

Client shall pay all undisputed amounts in accordance with the Payment Schedule. Disputes to any invoice must be submitted in writing within the Invoice Due Days; undisputed portions remain payable. Late payments shall accrue the Late Fee and any collection costs, including reasonable attorney fees.

Either party may terminate this Agreement without cause upon days' prior written notice to the other party. Termination for cause may occur immediately upon written notice if the other party materially breaches this Agreement and fails to cure within 10 days after receipt of written notice of such breach.

Upon termination, Walker shall be paid for all services performed through the effective date of termination and shall return all Client property and confidential information in accordance with the Confidentiality clause below.

Confidentiality

For purposes of this Agreement, Confidential Information means any non-public business, operational, client, financial, procedural, or technical information disclosed by Client to Walker, whether disclosed orally, visually, or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

Walker agrees not to use or disclose Confidential Information except as necessary to perform services under this Agreement or as required by law. Walker shall take commercially reasonable measures to safeguard Confidential Information and shall return or destroy all Confidential Information promptly upon Client's written request. The obligations in this Confidentiality section shall survive termination of this Agreement for a period of three (3) years.

Liability, Insurance and Indemnification

Walker shall maintain at all times during the Term commercial general liability insurance with limits reasonably acceptable to Client and any additional coverages required for the nature of the services. Upon request, Walker shall provide certificates of insurance. Walker shall indemnify and hold Client harmless from and against any claims, liabilities, losses, costs, and expenses arising from Walker's negligence or willful misconduct in the performance of services, except to the extent caused by Client's gross negligence or willful misconduct.

Independent Contractor Status

The parties acknowledge and agree that Walker is engaged as an independent contractor. Walker is not an employee of Client for any purpose and is responsible for all taxes, withholdings, and other statutory or contractual obligations of an independent contractor.

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of without regard to its conflicts of laws principles.

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. No amendment or modification of this Agreement will be effective unless in writing and signed by both parties.

Miscellaneous Provisions

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or such other address as either party may designate by written notice.
