BUSINESS WALLET AGREEMENT

This Business Wallet Agreement (Agreement) is entered into as of Effective Date: by and between Client Name: located at and Provider Name: located at . The Client and Provider are each referred to herein as a Party and collectively as the Parties.

RECITALS

WHEREAS, the Provider operates and administers a business wallet service (the Wallet) that enables the receipt, custody, transfer, and disbursement of funds used in the Client's business operations; and

WHEREAS, the Client desires to engage the Provider to establish, fund, and operate a designated business wallet identified as Wallet Identifier: and to permit certain authorized users to access and operate transactional functions subject to the terms below; and

WHEREAS, the Parties wish to set forth the rights, responsibilities, fees, security obligations, and other material terms governing the Wallet and related services.

SCOPE OF WORK

The Provider shall establish and maintain the Wallet for the Client, perform account administration, execute authorized transfers, provide transaction reporting, and implement reasonable security measures described herein. Specific deliverables, limitations, and operational procedures are set forth below and in the Scope of Work field.

WALLET ACCESS, AUTHORIZED SIGNATORIES AND SECURITY

The Client shall designate one or more Authorized Signatories who may instruct the Provider with respect to Wallet activity. Authorized Signatories shall be identified below and must complete any identity verification required by the Provider. The Provider will implement commercially reasonable security controls, but the Client remains responsible for secure credential management and for transaction authorization practices.

PAYMENT TERMS

The Client shall fund and maintain the Wallet with cleared funds sufficient to satisfy authorized transactions, fees, and reserves as required by the Provider. Fees payable to the Provider are set forth below.

Unless otherwise agreed in writing, fees are exclusive of taxes. Provider may charge collection costs and interest as set forth above for overdue amounts. The Provider may suspend Wallet services for nonpayment after providing the notice required under Term and Termination.

TERM AND TERMINATION

This Agreement commences on Start Date: and, unless earlier terminated in accordance with this Agreement, continues until End Date: or until terminated by either Party upon provision of written notice as set forth below.

Either Party may terminate immediately for material breach by the other Party that remains uncured after thirty (30) days' written notice. Upon termination, Provider shall, following verification and subject to any outstanding obligations, return any remaining Wallet funds to the Client in accordance with Provider's withdrawal procedures. Provider may set off outstanding obligations against Wallet balances.

CONFIDENTIALITY

Each Party shall maintain in confidence all non-public information disclosed by the other Party that is designated confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure (Confidential Information). Confidential Information shall not include information that is or becomes public through no breach of this Agreement, rightfully received from a third party, or independently developed without use of the other Party's Confidential Information. The receiving Party shall use Confidential Information solely to perform its obligations under this Agreement and shall restrict access to employees and agents who have a need to know and are bound by confidentiality obligations no less protective than those herein.

INDEMNIFICATION AND LIMITATION OF LIABILITY

Each Party shall indemnify, defend, and hold harmless the other Party from third-party claims to the extent arising from the indemnifying Party's gross negligence, willful misconduct, or material breach of this Agreement. Except for liability arising from gross negligence, willful misconduct, or breach of confidentiality, neither Party shall be liable for indirect, incidental, consequential, special, or punitive damages. Provider's aggregate liability for direct damages shall be limited to the greater of (i) fees paid to Provider under this Agreement in the twelve (12) months preceding the claim, or (ii) $10,000.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The Parties submit to the exclusive jurisdiction of the state and federal courts located within that State for disputes arising under this Agreement.

ENTIRE AGREEMENT

This Agreement, including any attachments or schedules executed by the Parties, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, and communications, whether written or oral, relating to such subject matter. Any amendment or modification must be in writing and signed by both Parties.

MISCELLANEOUS

Notices required under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a Party shall provide in writing. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
