BUSINESS WARFFELI DOCUMENT

This Business Warffeli Document (the "Agreement") is made and entered into as of by and between:

RECITALS

WHEREAS, Client desires to engage Service Provider to perform certain business advisory, product development, and related services conceived under the Warffeli methodology as described below; and

WHEREAS, Service Provider represents that it has the experience, personnel, and capability to perform the required services in a professional manner and to Client's reasonable satisfaction; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

SCOPE OF WORK

Service Provider shall perform the tasks and deliverables described below in accordance with the standards, schedule, and acceptance criteria set forth in this Agreement.

PAYMENT TERMS

Client shall pay Service Provider the fees set forth below in consideration for the services rendered. All fees are exclusive of taxes unless otherwise stated.

Invoices shall be issued in accordance with the payment schedule. Client shall pay invoiced amounts within days of receipt. Overdue amounts shall accrue the Late Fee set forth above and Service Provider may suspend performance after providing written notice if amounts remain unpaid.

TERM AND TERMINATION

This Agreement commences on and continues until unless earlier terminated as provided herein.

Either party may terminate this Agreement for material breach by the other party upon written notice if the breach is not cured within the notice period above. Either party may also terminate for insolvency or bankruptcy of the other party. Upon termination, Client shall pay Service Provider for all services performed and expenses incurred through the effective date of termination.

CONFIDENTIALITY

"Confidential Information" means non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential. Each party shall: (a) hold Confidential Information in strict confidence; (b) not disclose it to any third party except to employees, contractors, or advisors who need to know and who are bound by confidentiality obligations at least as protective as those herein; and (c) use Confidential Information only for performance under this Agreement.

The obligations in this section shall survive termination for a period of years, except with respect to trade secrets which shall be protected for as long as they remain trade secrets. Disclosure compelled by law is permitted only after the receiving party provides prompt notice and cooperates to seek protective measures.

INTELLECTUAL PROPERTY AND WORK PRODUCT

Unless otherwise agreed in writing, Service Provider grants Client a non-exclusive, non-transferable license to use deliverables provided under this Agreement for Client's internal business purposes. Service Provider retains ownership of pre-existing intellectual property and Warffeli methodology materials; Client receives no rights to Service Provider's methodology except as granted herein.

WARRANTIES, LIMITATION OF LIABILITY

Service Provider warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. EXCEPT AS EXPRESSLY PROVIDED IN THIS AGREEMENT, ALL WARRANTIES ARE DISCLAIMED TO THE MAXIMUM EXTENT PERMITTED BY LAW. IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, AND THE AGGREGATE LIABILITY OF SERVICE PROVIDER SHALL NOT EXCEED THE TOTAL AMOUNTS PAID BY CLIENT UNDER THIS AGREEMENT DURING THE SIX (6) MONTHS PRECEDING THE CLAIM.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of law provisions. The parties submit to the exclusive jurisdiction of the courts located in that state for disputes arising out of this Agreement.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, including all exhibits and attachments, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior agreements and understandings. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

Neither party may assign this Agreement without the prior written consent of the other, except to an affiliate or in connection with a merger or sale of substantially all assets. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
