BUSINESS WASTE AGREEMENT

This Business Waste Agreement (the Agreement) is entered into as of by and between Service Provider: with principal place of business at and Client: with principal place of business at .

RECITALS

WHEREAS, Service Provider is engaged in the business of collection, transportation and lawful disposal or recycling of commercial waste materials; and

WHEREAS, Client operates commercial premises and desires to retain Service Provider to provide waste collection, transportation and disposal services in accordance with the terms and conditions set forth in this Agreement; and

WHEREAS, the parties intend to allocate responsibilities for handling, storage, transportation, and lawful disposal of waste in a manner that protects public health and the environment.

SCOPE OF WORK

Service Provider shall furnish all labor, equipment, materials, permits and transportation necessary to collect, transport and lawfully process or dispose of the types of waste specified below at the Client's premises in accordance with applicable law and industry standards.

PAYMENT TERMS

Client shall pay Service Provider the fees described below for services rendered under this Agreement. All amounts are payable in United States dollars unless otherwise stated.

Client shall reimburse Service Provider for reasonable costs of removal and remediation arising from prohibited or hazardous materials not disclosed by Client or introduced by Client after initial inspection. Service Provider shall provide invoices that itemize such charges.

TERM AND TERMINATION

This Agreement commences on and shall continue until unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for cause upon written notice if the other party materially breaches any obligation hereunder and fails to cure such breach within the notice period specified above. Either party may terminate for convenience upon providing the notice specified above.

CONFIDENTIALITY

Each party shall keep confidential all nonpublic business, technical, customer and pricing information disclosed by the other party in connection with this Agreement and shall not use or disclose such information except as necessary to perform obligations under this Agreement or as required by law. Confidential information shall not include information that is or becomes publicly known through no fault of the receiving party.

INDEMNIFICATION AND INSURANCE

Service Provider shall indemnify and hold harmless Client from and against claims, liabilities, losses and expenses arising from Service Provider's negligent acts or omissions, including improper handling or disposal of waste, except to the extent caused by Client's negligence or breach of this Agreement. Client shall indemnify and hold harmless Service Provider from claims arising from Client's failure to disclose hazardous materials or from Client's acts or omissions.

COMPLIANCE AND ENVIRONMENTAL REQUIREMENTS

Service Provider shall perform services in compliance with all applicable federal, state and local laws, rules and regulations governing the handling, transportation and disposal of waste. Client represents that it will not present prohibited or illegal waste streams and will comply with applicable regulations concerning classification and segregation of waste.

LIMITATION OF LIABILITY

Except for willful misconduct or gross negligence, neither party shall be liable to the other for consequential, incidental, special or punitive damages arising out of or in connection with this Agreement. The aggregate liability of either party for direct damages arising from the performance or nonperformance of this Agreement shall not exceed the total fees paid by Client to Service Provider under this Agreement during the prior twelve (12) months.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to its conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, including any attachments or written service schedules executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior proposals, negotiations, and agreements, whether oral or written. Any amendments must be in writing and signed by authorized representatives of both parties.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses below by hand, certified mail, overnight courier or other method providing proof of delivery.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. The parties are independent contractors; nothing in this Agreement creates a partnership, joint venture, or agency relationship except as expressly provided.
