BUSINESS WASTE MANAGEMENT AGREEMENT

RECITALS

WHEREAS, Client Name: (the "Generator") operates a business that generates non-hazardous and/or hazardous business waste; and

WHEREAS, Service Provider Name: (the "Service Provider") is authorized and qualified to collect, transport, treat, recycle and/or dispose of such waste in compliance with applicable law; and

NOW, THEREFORE, in consideration of the mutual covenants set forth herein, the parties agree as follows.

SCOPE OF SERVICES

Service Provider shall collect, transport and manage the waste generated by the Client as described below. Services include supply and maintenance of containers, scheduled collection, manifests and required documentation, transportation to licensed facilities, and lawful disposal or recycling in accordance with applicable environmental and transportation laws.

PAYMENT TERMS

Client shall pay Service Provider the fees specified below in consideration for performance of the Services. Unless otherwise stated, fees are exclusive of taxes and surcharges authorized by law.




All late fees accrue from the date payment was due and are in addition to any costs of collection, including reasonable attorneys' fees. Service Provider may suspend service for accounts overdue beyond the invoice due period following written notice.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and continue until End Date: unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for material breach if the breaching party fails to cure such breach within the notice period specified above, or immediately for cause where required by law or where a party's acts create an imminent threat to health, safety or the environment.

CONFIDENTIALITY

Each party shall keep confidential all non-public business information obtained from the other party in connection with this Agreement, including pricing, manifests, customer lists and operational methods, and shall not disclose such information except as required by law or as necessary to perform the Services. Confidential information shall remain the property of the disclosing party and shall be returned or securely destroyed upon termination of this Agreement.

COMPLIANCE, INSURANCE AND INDEMNIFICATION

Service Provider shall perform Services in compliance with all applicable federal, state and local laws, regulations and permits. Service Provider shall maintain at its expense insurance coverages customary for the industry, including general liability, automobile liability and environmental liability where applicable, in limits not less than Insurance Requirements:

Client shall indemnify and hold Service Provider harmless from liability arising from Client's improper labeling, mixing, storage or misrepresentation of wastes. Service Provider shall indemnify and hold Client harmless from liability arising from Service Provider's negligent transport or disposal, except to the extent caused by Client's acts or omissions.

RECORDS, MANIFESTS AND INSPECTION

Service Provider shall provide copies of manifests, disposal receipts, recycling certifications and other required documentation to Client promptly after each shipment. Service Provider shall retain transport and disposal records for a minimum retention period of Record Retention Period: and shall allow Client reasonable access for audit and inspection upon prior notice.

FORCE MAJEURE

Neither party shall be liable for failure or delay in performance to the extent caused by events beyond its reasonable control, including but not limited to acts of God, strikes, pandemics, civil unrest, or governmental actions. The affected party shall provide prompt notice and make reasonable efforts to resume performance.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the Governing State: without regard to its conflicts of law principles.

ENTIRE AGREEMENT

This Agreement, including any exhibits and documents incorporated by reference, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS PROVISIONS

Notices required under this Agreement shall be in writing and delivered to the addresses provided in the Parties and Contacts section. If any provision is held invalid, the remainder of the Agreement shall remain in effect. Neither party may assign its rights without the prior written consent of the other, except to a successor in interest to all or substantially all of its business.
