WHEREAS

WHEREAS, Company conducts business in the area of commercial operations and desires to retain the services of Provider to perform certain deliverables described herein; and

WHEREAS, Provider represents that it has the requisite expertise, personnel, and resources to perform the services specified in this Agreement and agrees to provide such services under the terms and conditions set forth below; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the services and compensation to be provided.

SCOPE OF WORK

Provider shall perform the services and deliverables described below in a professional manner consistent with industry standards. Provider shall supply all labor, materials, equipment, and supervision necessary to complete the work except as may be expressly provided otherwise in this Agreement.

PAYMENT TERMS

Company shall pay Provider for the services described above in accordance with the following terms.

All undisputed amounts unpaid when due shall accrue interest at the rate specified above. If Company disputes any portion of an invoice in good faith, Company shall notify Provider in writing within seven (7) days of receipt of the invoice and the undisputed portion shall remain payable when due.

TERM AND TERMINATION

This Agreement shall commence on the Start Date and shall continue until the End Date unless earlier terminated in accordance with this section.

Upon termination, Provider shall deliver to Company all completed work and any work in progress for which Company has paid. Termination shall not relieve either party of obligations that accrued prior to termination.

CONFIDENTIALITY

Each party shall hold in confidence all non-public information disclosed by the other party that is marked confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Confidential Information shall not include information that: (a) is or becomes generally available to the public through no breach of this Agreement; (b) was known to the recipient prior to disclosure; (c) is rightfully received from a third party without restriction; or (d) is independently developed by the recipient without use of Confidential Information.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in that State for disputes arising under this Agreement.

ENTIRE AGREEMENT

This Agreement, including any exhibits and attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written. Any modification or waiver of any provision of this Agreement must be in writing and signed by both parties.

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect and the parties shall endeavor to replace the invalid provision with a valid provision that achieves, to the greatest extent possible, the original economic and legal effect.
