BUSINESS WE TEMPLATE

This General Business Agreement (Agreement) is entered into effective as of by and between:

WHEREAS

WHEREAS, Party A is engaged in the business of providing certain professional goods and services, including but not limited to consulting, planning and execution of specified business activities; and

WHEREAS, Party B desires to engage Party A to perform the services described in this Agreement under the terms set forth herein, and Party A is willing to provide such services on the terms and conditions contained in this Agreement; and

WHEREAS, the Parties desire to set forth their respective rights and obligations with respect to the services, payment, confidentiality and other matters as provided below.

SCOPE OF WORK

Party A shall provide the services, deliverables and other work product described below. Party A shall perform such services in a professional and workmanlike manner consistent with prevailing industry standards.

Deliverables shall be submitted in the form and at the milestones set forth in the project schedule agreed in writing by the Parties. Changes to the Scope of Work shall require written amendment signed by authorized representatives of both Parties.

PAYMENT TERMS

In consideration for the services to be provided by Party A, Party B shall pay Party A the fees and expenses set forth below according to the schedule and conditions specified.

All amounts payable under this Agreement are exclusive of taxes. Party B shall make payments within the period specified in the Payment Schedule. If any undisputed invoice remains unpaid beyond the due date, Party A may suspend performance after ten (10) days' written notice and charge the late fee specified above until payment is made in full.

TERM AND TERMINATION

This Agreement shall commence on the Start Date and shall continue in effect until the End Date, unless earlier terminated in accordance with this section.

Either Party may terminate this Agreement for material breach by the other Party if such breach remains uncured for thirty (30) days after written notice specifying the breach. Termination shall not relieve either Party of obligations accrued prior to the effective date of termination.

CONFIDENTIALITY

Each Party (Receiving Party) shall hold in confidence and not disclose any non-public, proprietary or confidential information disclosed by the other Party (Disclosing Party) that is identified as confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure. Confidential information excludes information that: (a) is or becomes publicly available through no fault of the Receiving Party; (b) was known to the Receiving Party prior to disclosure; (c) is rightfully received from a third party without duty of confidentiality; or (d) is independently developed by the Receiving Party without use of the Disclosing Party's confidential information.

The Receiving Party may disclose Confidential Information to the extent compelled by law, provided it gives the Disclosing Party prompt notice and cooperates in seeking a protective order or other appropriate remedy. Upon termination or expiration of this Agreement, the Receiving Party shall return or destroy Confidential Information as directed by the Disclosing Party.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to conflicts of law principles. The Parties agree that they will attempt in good faith to resolve any disputes arising out of or relating to this Agreement through negotiation between senior representatives of each Party prior to initiating any legal action.

ENTIRE AGREEMENT

This Agreement, including any exhibits or schedules expressly incorporated herein, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written. Any amendment to this Agreement must be in writing and signed by authorized representatives of both Parties.

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses below:

REPRESENTATIONS; MISCELLANEOUS

Each Party represents and warrants that it has the full power and authority to enter into this Agreement and to perform its obligations hereunder. Neither Party will assign or transfer this Agreement or any rights hereunder without the prior written consent of the other Party, except to an affiliate or in connection with a merger or sale of substantially all assets, provided that the assignee assumes all obligations hereunder.

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect and the Parties will negotiate in good faith to replace the invalid provision with a valid provision that achieves the original purpose to the greatest extent possible.
