What the Business Website Addendum Covers

The Business Website Addendum is a short, supplemental agreement attached to a primary contract that defines website-related responsibilities, deliverables, and ownership between parties. It typically covers scope of website content, hosting and maintenance obligations, intellectual property and source code ownership, data handling and privacy, third-party integrations, and acceptance criteria. For U.S. transactions it can specify governing law, compliance obligations (for example HIPAA or FERPA when applicable), and whether electronic signatures are acceptable. Use the addendum to reduce ambiguity about website scope, clarify who controls changes, and document service-level expectations.

Why a Website Addendum Matters for Contracts

The Business Website Addendum reduces disputes by documenting deliverables, timelines, and ownership of content and code. It clarifies liability for data breaches, compliance with sector-specific rules, and acceptance testing. Clear allocation of responsibilities lowers operational risk and supports enforceability under applicable contract law.

Essential Provisions to Include

Key provisions commonly included in a Business Website Addendum help define responsibilities, rights, and risk allocation between vendors and clients.

Scope

Describe specific website deliverables, features, timelines, and excluded items. Be explicit about content responsibilities, CMS access, and whether third-party plugins are permitted.

IP Ownership

State who owns site code, graphics, and written content. Specify transfer of rights, license terms, and any work-for-hire clauses to avoid later disputes.

Maintenance

Define post-launch support, response times, update frequency, backup schedule, and fee structure. Clarify responsibility for security patches and emergency remediation.

Data Handling

Specify data collection, storage location, access controls, encryption, and compliance obligations (HIPAA, FERPA) when applicable. Include breach notification responsibilities and timelines.

Third-Party Services

List hosting, CDN, analytics, and payment providers. Identify who manages service contracts, upgrade costs, and liability for vendor outages.

Acceptance & Warranties
