WHEREAS

WHEREAS, Party A is engaged in the business of providing goods and services in the ordinary course of business, and Party B desires to retain Party A to perform certain services under the terms set forth herein;

SCOPE OF WORK

PAYMENT TERMS

Invoices shall be payable within days of invoice receipt. Overdue amounts shall bear interest at a rate of until paid in full. In addition to interest, the prevailing party shall be entitled to recover collection costs, including reasonable attorneys' fees.

TERM AND TERMINATION

This Agreement shall commence on and shall continue in effect until unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon written notice to the other party no less than days prior to the effective date of termination. Such notice must specify the effective date of termination and any outstanding obligations.

Either party may terminate for cause if the other party materially breaches this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice describing the breach in reasonable detail.

CONFIDENTIALITY

Each party (the "Receiving Party") shall hold in strict confidence all non-public, proprietary, or confidential information disclosed by the other party (the "Disclosing Party") in connection with this Agreement. Confidential information shall not include information that (i) is or becomes generally known to the public through no fault of the Receiving Party; (ii) is rightfully received from a third party without restriction; or (iii) is independently developed by the Receiving Party without use of the Disclosing Party's confidential information.

The Receiving Party shall use at least the same degree of care to protect the Disclosing Party's confidential information as it uses to protect its own confidential information, but in no event less than reasonable care. Upon termination of this Agreement, the Receiving Party shall return or destroy the Disclosing Party's confidential information as requested in writing.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of without regard to its conflicts of law principles. The parties shall first attempt to resolve any dispute through good faith negotiation. If negotiation fails, the parties agree that disputes shall be resolved by binding arbitration conducted in the chosen jurisdiction unless the parties mutually agree otherwise in writing.

MISCELLANEOUS

Entire Agreement: This Agreement, including all exhibits and attachments referenced herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.

Amendment; Waiver: No amendment, modification, or waiver of any provision of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties. No failure or delay in exercising any right shall operate as a waiver.

Severability: If any provision of this Agreement is deemed invalid or unenforceable, the remainder of this Agreement shall remain in full force and effect and the invalid provision shall be reformed to the extent necessary to make it enforceable.

NOTICES

Execution: This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures delivered by electronic means shall be effective to bind the signatory.
