BUSINESS WHFO DOCUMENT

This Business WHFO Document ("Agreement") is entered into as of by and between:

RECITALS

WHEREAS, Company requires certain services, deliverables, and related work product described in this Agreement that constitute WHFO (work, hire, fee and ownership obligations); and

WHEREAS, Provider has represented that it possesses the necessary expertise, personnel, and resources to perform the Scope of Work and create the Deliverables in accordance with the terms of this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein and for other good and valuable consideration, the parties agree as follows:

SCOPE OF WORK

Provider shall perform the services and produce deliverables described below (the "Scope of Work"). All work shall be performed in a professional manner consistent with industry standards.

PAYMENT TERMS

Company shall pay Provider for the services and deliverables in accordance with the following terms:

All amounts are payable in United States dollars unless otherwise agreed in writing. Provider shall invoice Company in accordance with the payment schedule. Unless otherwise specified, Company shall remit payment within thirty (30) days of receipt of an undisputed invoice.

TERM AND TERMINATION

The term of this Agreement commences on and expires on unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within the notice period specified above. Company may terminate for convenience upon providing the notice required above; in such event Provider shall be entitled to payment for work performed and reasonable costs incurred through the effective date of termination, subject to setoff for amounts owed to Company.

CONFIDENTIALITY

Each party (the "Recipient") shall hold in strict confidence all confidential or proprietary information disclosed by the other party (the "Discloser") and shall not use or disclose such information except as necessary to perform its obligations under this Agreement. Confidential information does not include information that: (a) is or becomes publicly available through no fault of Recipient; (b) was rightfully known to Recipient prior to disclosure; (c) is rightfully received from a third party without restriction; or (d) is independently developed by Recipient without use of Discloser's confidential information.

Upon termination or expiration of this Agreement, Recipient shall return or destroy all Discloser's confidential information and certify destruction upon request, except that Recipient may retain copies required for compliance with legal or regulatory obligations.

INTELLECTUAL PROPERTY AND WHFO

All work product, deliverables, inventions, designs, software, documentation, and other materials created, developed or delivered by Provider under this Agreement (collectively, "Deliverables") shall be considered work made for hire to the extent permitted by applicable law. To the extent any Deliverable does not qualify as work made for hire, Provider hereby irrevocably assigns and transfers to Company all right, title and interest in and to such Deliverables, including all intellectual property rights therein, without further consideration. Provider retains no rights to use, reproduce, or exploit the Deliverables except as expressly set forth in writing by Company.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to principles of conflicts of law. Any dispute arising out of or relating to this Agreement shall be resolved by the courts located in the county of the governing state, subject to equitable relief as may be necessary to protect confidential information and intellectual property rights.

MISCELLANEOUS

Assignment: Neither party may assign its rights or delegate its duties under this Agreement without the prior written consent of the other party, except that Company may assign to an affiliate or successor by merger or acquisition. Any prohibited assignment shall be null and void.

Indemnification: Provider shall indemnify, defend and hold harmless Company and its officers, directors and employees from and against any third-party claims arising out of Provider's negligence, willful misconduct, or breach of representations, including claims that the Deliverables infringe third-party intellectual property rights, provided Company gives prompt written notice and reasonable cooperation in the defense.

ENTIRE AGREEMENT

This Agreement, including any attachments or exhibits signed by the parties, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous negotiations, proposals, agreements and understandings, whether written or oral. Any amendment or modification must be in writing and signed by authorized representatives of both parties.
