Recitals

WHEREAS, Client operates the business identified above and seeks the supply, fabrication, and installation of commercial windows and related services for the premises identified in this Quote; and

WHEREAS, Contractor is duly qualified, experienced, and licensed to provide window products, glazing, and installation services and has the capability to perform the work described below under the terms set forth in this Quote and Agreement; and

WHEREAS, the parties desire to set forth the scope, price, timelines, and other terms governing the supply and installation of windows at the Client premises.

Payment Terms

All payments are due as specified above. Invoices unpaid after the due date shall incur the late fee set forth in this section and Contractor reserves the right to suspend work for non-payment after providing written notice as required by this Agreement.

Term and Termination

This Agreement commences on and, unless earlier terminated in accordance with this section, continues until or until completion of the Scope of Work, whichever occurs later.

Either party may terminate this Agreement for material breach by the other party if the breach remains uncured for days after written notice. Upon termination, Client shall pay Contractor for work performed and materials procured through the date of termination plus reasonable demobilization costs.

Confidentiality

Each party shall keep confidential all non-public information disclosed by the other party that is identified as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential information does not include information that is or becomes publicly known through no breach of this Agreement or information independently developed without use of the other party's confidential information.

The parties agree to use confidential information solely for the performance of this Agreement and to take reasonable measures to protect confidentiality consistent with industry practice.

Warranties and Limitation of Liability

Contractor warrants that materials will be new and that installation will be performed in a workmanlike manner for a period of one year from substantial completion, except to the extent a longer manufacturer warranty is specified in the Scope of Work. Except for the express warranties in this Agreement, Contractor disclaims all other warranties, express or implied.

Liability for damages arising under or related to this Agreement shall be limited to direct damages and in no event shall either party be liable for consequential, incidental, punitive, or special damages, except in cases of willful misconduct or gross negligence.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties shall first attempt to resolve disputes through good faith negotiation; if unresolved, disputes shall be resolved by binding arbitration in the county of the Contractor's principal place of business unless otherwise agreed in writing.

Entire Agreement and Amendments

This Quote, together with the Scope of Work and any attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior proposals, negotiations, and agreements. No amendment or modification shall be effective unless in writing and signed by authorized representatives of both parties.
