WHEREAS, the Service Provider is authorized to arrange or transmit electronic funds transfers on behalf of the Client for business purposes; and

WHEREAS, the Client desires to instruct the Service Provider to initiate one or more wire transfers under the terms set forth herein; and

WHEREAS, the parties wish to set forth the scope, payment, confidentiality and legal terms governing such wire transfer instructions.

Scope of Work

The Service Provider shall: (a) receive wire instructions from the Client; (b) verify beneficiary and banking details to commercially reasonable standards; (c) initiate wire transfers in accordance with the schedule below; and (d) provide confirmations to the Client upon execution.

All amounts are payable in the currency specified in the Transfer Amount field unless otherwise agreed in writing. The Client is responsible for any bank fees, correspondent bank charges, and currency conversion costs unless otherwise allocated herein.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Termination for material breach is effective upon written notice when the breaching party fails to cure within 10 days after receipt of notice of such breach.

Confidentiality

Each party shall keep confidential all non-public information obtained from the other party in connection with this Agreement, including bank account details, transfer amounts, and business processes ("Confidential Information"). Confidential Information shall not be disclosed except to employees, agents, or advisors with a need to know and who are bound by confidentiality obligations no less protective than those herein. Confidential obligations survive termination of this Agreement for a period of three (3) years, except that bank account details and transfer instructions shall remain confidential for as long as they are used by the parties.

Authorization and Liability

The Client authorizes the Service Provider to initiate wire transfers in accordance with the instructions provided in this Form. The Client warrants the accuracy of beneficiary and banking information. The Service Provider shall exercise commercially reasonable care in executing instructions but shall not be liable for errors caused by inaccurate information supplied by the Client, delays outside the Service Provider's control, or actions of correspondent banks. The Client agrees to indemnify and hold harmless the Service Provider from claims arising from inaccurate instructions or unauthorized instructions where reasonable verification measures were satisfied.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to its conflict of laws principles.

Entire Agreement

This Agreement, together with all wire instructions and any written amendments signed by both parties, constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior or contemporaneous understandings, proposals, or agreements, whether written or oral.

Miscellaneous

Notices under this Agreement shall be in writing and delivered to the addresses provided by the parties. If any provision of this Agreement is held invalid, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except to a successor in interest in connection with a merger or sale of substantially all assets.
