BUSINESS WIRE TRANSFER AGREEMENT

Recitals

WHEREAS, Client Name: (the "Initiator") requires electronic funds transfers to be effected by wire to designated beneficiary accounts; and

WHEREAS, Service Provider Name: (the "Provider") has the systems, banking relationships and expertise necessary to originate and transmit such wire transfers; and

WHEREAS, the parties desire to set forth the terms and conditions under which the Provider will originate wire transfers on behalf of the Initiator.

Either party may terminate this Agreement for any reason upon written notice delivered at least days prior to the effective termination date. Termination does not relieve either party of obligations accrued prior to termination.

Authorization; Representations

Initiator hereby authorizes Provider to originate wire transfers in accordance with the wire instructions provided herein or subsequently delivered in writing by an authorized representative. Initiator represents and warrants that all funds are not derived from unlawful activities and that all transfers comply with applicable laws, sanctions and banking regulations.

By checking this box the Initiator certifies that the above wire instructions are true and correct and authorizes the Provider to effect wire transfers in accordance with this Agreement.

Confidentiality

Each party agrees to keep confidential all non-public business and banking information disclosed by the other party in connection with this Agreement. Confidential information shall not include information that is or becomes publicly known through no breach of this Agreement or is required to be disclosed by law or by a competent regulatory or judicial authority.

Indemnification and Liability

Initiator shall indemnify and hold harmless Provider and its affiliates from and against any loss, liability, cost or expense (including reasonable attorneys' fees) arising from Initiator's negligent or willful failure to provide accurate wire instructions or from Initiator's breach of representations in this Agreement. Provider's liability for errors or delays caused by Provider will be limited to direct proven damages and shall not include consequential, incidental or punitive damages.

Compliance with Laws and Sanctions

Both parties shall comply with all applicable anti-money laundering laws, trade sanctions and other regulatory requirements. Provider may refuse to execute any transfer if in its reasonable judgment such transfer would violate applicable law or present unacceptable risk.

Governing Law

This Agreement shall be governed by and construed under the laws of the State of without regard to its conflict of law principles.

Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, understandings and communications, whether written or oral. Any amendment must be in writing and signed by both parties.

Notices

Notices under this Agreement shall be given in writing to the addresses set forth below or to such other address as either party designates in writing.

Execution

This Agreement may be executed in counterparts and by electronic or facsimile signature, each of which shall be deemed an original and all of which together shall constitute one instrument.
