BUSINESS WORK AGREEMENT

This Business Work Agreement ("Agreement") is entered into as of Effective Date: by and between the parties identified below.

Recitals

WHEREAS, Client wishes to engage Contractor to perform certain business services and deliverables described herein; and

WHEREAS, Contractor represents that it has the expertise, personnel and resources to perform the services in a professional manner consistent with prevailing industry standards; and

WHEREAS, the parties desire to set forth the terms and conditions under which Contractor will perform such services.

Scope of Work

Payment Terms

Invoices shall be submitted by Contractor and payable by Client within days of receipt, unless otherwise agreed in writing.

Late payments shall accrue interest at the lesser of the maximum rate permitted by law or % per month, compounded monthly, plus any collection costs and attorneys' fees reasonably incurred to collect overdue amounts.

Each party is responsible for its own taxes arising from payments under this Agreement. Contractor shall be responsible for all payroll, income and other taxes for its personnel.

Term and Termination

The term of this Agreement commences on Start Date: and continues until End Date: unless earlier terminated as provided herein.

Either party may terminate this Agreement for convenience upon written notice to the other party at least days prior to the intended termination date.

Either party may terminate immediately for material breach by the other party that remains uncured for thirty (30) days after written notice specifying the breach. Termination shall not relieve Client of the obligation to pay for services performed and expenses incurred through the effective date of termination.

Confidentiality

"Confidential Information" means non-public information disclosed by one party to the other, whether oral, written or electronic, that is designated as confidential or that a reasonable person would understand to be confidential under the circumstances. Confidential Information excludes information that: (a) is or becomes generally known to the public through no act or omission of the receiving party; (b) was lawfully known to the receiving party prior to disclosure; (c) is received from a third party without breach of an obligation of confidentiality; or (d) is independently developed by the receiving party without use of the disclosing party's Confidential Information.

The receiving party shall protect the disclosing party's Confidential Information with the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care; shall not use Confidential Information except to perform its obligations under this Agreement; and shall not disclose Confidential Information to any third party except to its employees, agents or subcontractors who have a need to know and are bound by obligations of confidentiality no less protective than those contained herein.

The obligations set forth in this Section shall survive termination of this Agreement for a period of years, except that trade secrets shall remain protected for as long as they qualify as trade secrets under applicable law.

Intellectual Property and Work Product

Unless otherwise agreed in writing, all deliverables and materials created by Contractor specifically for Client in connection with this Agreement (collectively, "Work Product") shall be deemed work made for hire and shall be the exclusive property of Client upon full payment. Contractor hereby assigns and transfers to Client all right, title and interest in and to such Work Product. Contractor retains ownership of pre-existing materials and tools and hereby grants Client a perpetual, non-exclusive license to any necessary pre-existing Contractor materials incorporated into a deliverable solely to the extent required to use the Work Product.

Indemnification and Limitation of Liability

Each party shall indemnify, defend and hold harmless the other party from and against third-party claims arising out of the indemnifying party's gross negligence or willful misconduct, breach of its representations, or infringement of third-party intellectual property rights, provided the indemnified party gives prompt written notice and cooperates in the defense. The indemnifying party shall control the defense and settlement of such claim, provided no settlement admits liability of or imposes obligations on the indemnified party without its prior written consent.

EXCEPT FOR LIABILITY ARISING FROM A PARTY'S GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR BREACH OF CONFIDENTIALITY OR INDEMNIFICATION OBLIGATIONS, NEITHER PARTY'S AGGREGATE LIABILITY UNDER THIS AGREEMENT SHALL EXCEED THE TOTAL AMOUNTS PAID OR PAYABLE BY CLIENT TO CONTRACTOR UNDER THIS AGREEMENT DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Dispute Resolution and Governing Law

The parties shall attempt in good faith to resolve any dispute arising out of or relating to this Agreement by negotiation between executives with authority to settle the dispute. If unresolved within thirty (30) days, either party may pursue any remedy available at law or equity.

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles.

General Provisions

Entire Agreement: This Agreement, including any exhibits and attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral.

Amendment: No amendment to this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remainder of this Agreement shall remain in full force and effect and such provision shall be reformed only to the extent necessary to make it valid and enforceable.

Assignment: Neither party may assign or transfer this Agreement or any rights hereunder without the prior written consent of the other party, except that Client may assign this Agreement to an affiliate or in connection with a sale of substantially all of its assets or business to which this Agreement relates.

Certification: Each party represents and warrants that it has the full right and authority to enter into this Agreement, that the signatory below is authorized to bind the party, and that performance under this Agreement will not violate any agreement, law or court order applicable to such party.
