Recitals

WHEREAS, Client desires to engage Service Provider to perform the services described below and Service Provider is willing and able to perform such services under the terms set forth in this agreement; and

WHEREAS, the parties desire to set forth the scope, compensation, term, confidentiality obligations, and other essential terms governing the relationship between them.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties agree as follows:

Term Expiration Date:    Either party may terminate this agreement for convenience upon written notice to the other party delivered no fewer than prior to the effective termination date.

Termination for Cause: Either party may terminate immediately upon written notice if the other party materially breaches any obligation under this agreement and fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach.

Confidentiality

Each party shall maintain in confidence and shall not disclose to any third party any Confidential Information disclosed by the other party. "Confidential Information" means non-public business, technical, financial or other information designated as confidential or that reasonably should be understood to be confidential. The obligations of confidentiality shall not apply to information that (a) is or becomes public through no breach of this agreement; (b) is rightfully received from a third party without restriction; (c) was in the receiving party's possession prior to disclosure; or (d) is independently developed by the receiving party without use of the disclosing party's Confidential Information.

Upon termination or expiration of this agreement, each party will promptly return or destroy all Confidential Information of the other party and certify such return or destruction upon request.

Governing Law

This agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located within that State for resolution of disputes arising under this agreement.

Entire Agreement

This agreement, together with any exhibits, attachments or statements of work expressly incorporated herein, constitutes the entire agreement between the parties concerning its subject matter and supersedes all prior and contemporaneous agreements, negotiations, representations and understandings, whether written or oral. Any amendment or modification must be in writing and signed by duly authorized representatives of both parties.

Notices

Notices shall be in writing and delivered to the addresses set forth above or to such other address as either party may designate by notice in accordance with this section. Notices are deemed given upon personal delivery, one business day after deposit with a nationally recognized overnight courier, or three business days after deposit in the U.S. mail, postage prepaid.
