Business Workbook and Services Agreement

This Business Workbook and Services Agreement (the Agreement) is entered into as of Effective Date: by and between Company Name: with principal place of business at (Company) and Workbook User Name: with address at (User). Collective references to Company and User are Parties.

RECITALS

WHEREAS, Company develops business planning tools, templates and facilitation materials and provides advisory services designed to support business strategy, operations and growth (the Services); and

WHEREAS, User requires Services and workbook materials to document, plan and implement business objectives and the Parties wish to memorialize the scope, compensation and mutual obligations including confidentiality and governance terms set forth below; and

NOW, THEREFORE, in consideration of the mutual covenants and conditions herein, the Parties agree as follows.

SCOPE OF WORK

PAYMENT TERMS

Total Compensation: $ payable in accordance with the schedule below.

Late Payment: A late fee of % per month will be applied to overdue amounts after a grace period of days. Interest and fee calculations will be applied to the outstanding balance.

Either Party may terminate this Agreement for convenience upon written notice to the other Party no fewer than days prior to the effective termination date. Termination for material breach shall be immediate if the breaching Party fails to cure within thirty (30) days after receipt of written notice specifying the breach.

CONFIDENTIALITY

Each Party acknowledges that during performance it may receive Confidential Information of the other Party. Confidential Information means business strategies, financial information, customer lists, pricing, proprietary workbook content, templates and any non-public information tendered in tangible or intangible form. Confidential Information does not include information that is publicly available through no breach by the receiving Party or which is independently developed without use of the disclosing Party's Confidential Information.

The receiving Party shall (a) use Confidential Information solely to perform its obligations under this Agreement, (b) restrict disclosure to employees or contractors on a need-to-know basis who are bound to confidentiality at least as protective as this Agreement, and (c) exercise reasonable care to protect such Confidential Information. Upon termination or expiration, the receiving Party shall return or destroy Confidential Information as requested by the disclosing Party and certify such return or destruction in writing within ten (10) days.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to principles of conflict of laws. Venue for any dispute arising under this Agreement shall lie exclusively in the state or federal courts located in such state.

MISCELLANEOUS

Assignment: Neither Party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other Party, except that Company may assign to an affiliate or successor in the event of a merger or sale of substantially all assets.

Indemnification: Each Party will indemnify, defend and hold harmless the other Party from claims arising out of its own gross negligence or willful misconduct in the performance of this Agreement.

Limitation of Liability: Except for liability arising from a Party’s willful misconduct, gross negligence, or breach of confidentiality, neither Party shall be liable for consequential, incidental, special or punitive damages and aggregate liability shall not exceed the fees paid under this Agreement in the twelve (12) months preceding the claim.

ENTIRE AGREEMENT

This Agreement, together with all attachments and any mutually executed statements of work, constitutes the entire agreement between the Parties with respect to the subject matter herein and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. No modification shall be effective unless in writing and signed by authorized representatives of both Parties.

The undersigned represent and warrant that they are authorized to execute this Agreement on behalf of the Party for which they sign and that by signing below the Parties agree to be bound by its terms.
