Recitals

WHEREAS, Client operates business operations at the workpoint identified as and desires specialized services to support operations at that workpoint;

WHEREAS, Service Provider represents that it has the experience, personnel, and ability to perform the services described in this agreement in a professional manner; and

WHEREAS, the parties desire to set forth the terms and conditions under which the services will be performed effective as of .

Scope of Work

Service Provider shall perform the services described below at the Client workpoint in accordance with industry standards and the schedule specified herein. The parties may agree to reasonable adjustments in writing.

Payment Terms

Client shall pay Service Provider for the services rendered in accordance with the following payment terms.

Term and Termination

This Agreement commences on the Start Date and continues until the End Date unless earlier terminated in accordance with this section.

Renewal: If checked, this Agreement will automatically renew for successive terms of the same duration unless either party provides written notice of non-renewal no later than days prior to the end of the then-current term.

Confidentiality

Each party (the "Recipient") shall hold in strict confidence and not disclose to any third party the other party's confidential information, including but not limited to business operations, customer lists, pricing, technical processes, trade secrets, and workpoint-specific security procedures (collectively, "Confidential Information"). Recipient shall use Confidential Information solely for the performance or receipt of services under this Agreement and shall protect such information with at least the same degree of care it uses to protect its own confidential information but in no event less than reasonable care.

Exceptions: Confidential Information does not include information that is (a) known to Recipient prior to disclosure; (b) becomes publicly known through no breach by Recipient; (c) rightfully received from a third party without obligation of confidentiality; or (d) independently developed by Recipient without use of the Confidential Information. If disclosure is compelled by law, Recipient will provide prompt written notice to allow the disclosing party to seek protective measures.

Liability and Insurance

Each party's liability for direct damages under this Agreement is limited to the amounts paid or payable by Client to Service Provider under this Agreement during the six (6) month period preceding the event giving rise to the claim. Neither party shall be liable for consequential, incidental, punitive, or special damages. Service Provider shall maintain commercial general liability insurance and, where applicable, workers' compensation and professional liability insurance in forms and limits customary for the industry.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of law principles. The parties shall first attempt to resolve disputes in good faith through negotiation, and if not resolved within thirty (30) days, either party may seek remedies in a court of competent jurisdiction located in that State.

Entire Agreement; Amendments

This Agreement, including all attachments and referenced schedules, constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral. No amendment or modification of this Agreement shall be binding unless in writing and executed by authorized representatives of both parties.

Representations and Warranties

Each party represents and warrants that it has the full right, power, and authority to enter into and perform under this Agreement, and that the execution and delivery of this Agreement by such party has been duly authorized by all necessary corporate or other action.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth in the Parties section or to such other address as a party may designate by notice in accordance with this provision. Notices shall be deemed given upon receipt.
