BUSINESS WORKSHOP AGREEMENT

This Business Workshop Agreement (the Agreement) is entered into on Effective Date: by and between Client Name: and Provider Name: .

WHEREAS

WHEREAS, Client desires to engage Provider to deliver a business workshop described in this Agreement and Provider has the experience and capability to provide such services under the terms set forth herein.

WHEREAS, the parties intend that the workshop will improve Client's internal capabilities, include specified deliverables, and be subject to confidentiality, payment and termination provisions set forth in this Agreement.

WHEREAS, the parties agree that the terms of this Agreement represent the full understanding of the parties regarding the workshop and related services.

SCOPE OF WORK

Provider shall perform and deliver the services and materials described below (the Services). Provider will perform the Services in a professional manner consistent with industry standards.

PAYMENT TERMS

Client agrees to pay Provider the fees and expenses set forth below in consideration for the Services. All fees are exclusive of applicable taxes unless otherwise stated.

Any amount not paid when due shall bear interest at a rate of (or the maximum permitted by law, if less). Client shall also be responsible for reasonable collection costs and attorneys' fees incurred by Provider in collecting overdue amounts.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall terminate on End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within Notice Period: days after receipt of written notice. Provider may also terminate immediately if Client materially fails to pay fees when due.

Upon termination, Client shall pay Provider for all Services performed and non-cancellable commitments made through the effective date of termination. Provider shall deliver any completed deliverables and may retain work in progress until payment is made.

CONFIDENTIALITY

"Confidential Information" means non-public information disclosed by one party (Disclosing Party) to the other (Receiving Party) in connection with this Agreement, whether disclosed orally, in writing or by inspection, and that is designated as confidential or that reasonably should be understood to be confidential. Confidential Information includes pricing, business plans, customer lists, and workshop materials.

Receiving Party shall: (a) use Confidential Information solely to perform its obligations or exercise its rights under this Agreement; (b) restrict disclosure to employees, contractors or agents who need to know and who are bound by confidentiality obligations no less protective than those in this Agreement; and (c) protect Confidential Information using at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care.

Confidential Information does not include information that: (i) is or becomes generally known to the public without breach of any obligation owed to Disclosing Party; (ii) was known to Receiving Party prior to disclosure as demonstrated by written records; (iii) is received rightfully from a third party without breach of any obligation of confidentiality; or (iv) is independently developed by Receiving Party without use of or reference to the Disclosing Party's Confidential Information.

INTELLECTUAL PROPERTY

Unless otherwise agreed in writing, Provider retains all right, title and interest in and to materials, methodologies, training materials and intellectual property created or used by Provider in the performance of the Services (Provider Materials). Provider grants Client a non-exclusive, non-transferable, revocable license to use Provider Materials solely for Client's internal purposes in connection with the workshop. Client shall not reproduce, distribute or create derivative works of Provider Materials except as expressly authorized in writing.

LIABILITY AND INDEMNIFICATION

Each party shall indemnify, defend and hold harmless the other party from and against claims arising out of its gross negligence, willful misconduct, or material breach of this Agreement. Except for a party's indemnification obligations or a party's gross negligence or willful misconduct, in no event shall either party be liable for indirect, incidental, special or consequential damages, and each party's aggregate liability under this Agreement shall not exceed the total fees paid by Client under this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of the courts located in that State for resolution of disputes arising under this Agreement.

ENTIRE AGREEMENT

This Agreement, including any attachments or statements of work executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous proposals, negotiations, representations, understandings and agreements, whether written or oral. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except that Provider may assign to an affiliate or in connection with a sale of substantially all its assets.
