Recitals

WHEREAS, Provider Name: (the "Provider") is engaged in the business of supplying, configuring and maintaining desktop and mobile computing workstations; and

WHEREAS, Client Name: (the "Client") desires to procure from Provider certain workstations and related services under the terms and conditions set forth in this Business Workstations Document; and

WHEREAS, the parties intend that the services, equipment, responsibilities and payment terms be set forth herein and constitute the entire agreement between the parties with respect to the supply, installation, configuration and maintenance of such workstations effective as of Effective Date: .

Definitions

"Workstation" means the hardware, operating system, factory-installed firmware and initial configuration provided by Provider to the Client, as itemized in the Workstation Inventory below. "Maintenance Services" means scheduled and unscheduled technical support, software patching and hardware troubleshooting as described in the Scope of Work.

Either party may terminate this Agreement for material breach if the breaching party fails to cure such breach within Notice Period: days after receipt of written notice. Provider may suspend services immediately if Client fails to pay undisputed amounts within ten (10) days of invoice due date.

Upon termination, Client shall return all Provider-owned equipment within thirty (30) days in materially the same condition as delivered, ordinary wear and tear excepted. Charges for missing or damaged equipment will be invoiced at fair market value.

Confidentiality

Each party shall treat as confidential all non-public business information disclosed by the other party, including system configurations, access credentials, inventory lists and pricing (collectively, "Confidential Information"). Confidential Information shall not be disclosed to third parties and shall be used only to perform obligations under this Agreement. This obligation shall survive termination for a period of three (3) years, except with respect to trade secrets which shall remain protected for as long as permitted by law.

Limitation of Liability

Except for liability arising from gross negligence, willful misconduct, or breach of confidentiality, neither party shall be liable for indirect, incidental, special or consequential damages. Provider's aggregate liability for any claim arising out of this Agreement shall not exceed the total fees paid by Client to Provider in the twelve (12) months preceding the event giving rise to the claim.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Jurisdiction: , without regard to conflict of laws principles.

Entire Agreement

This Agreement, including any schedules and attachments signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations and agreements, whether written or oral. Any amendment must be in writing and signed by authorized representatives of both parties.

Workstations shall be deemed accepted upon successful completion of installation and Client's written acceptance or automatic acceptance seven (7) days after delivery if Client does not provide written notice of defects. Provider will remediate valid defects discovered during the acceptance period at no additional charge.
