BUSINESS WPN DOCUMENT

This Business WPN Document (the "Agreement") is entered into as of by and between ("Client") and ("Provider"). The parties agree as follows:

WHEREAS

WHEREAS, Client desires to issue and record Work Product Notices ("WPNs") to memorialize specific deliverables, specifications and payment obligations with respect to services rendered by Provider; and

WHEREAS, Provider represents that it has the capability and capacity to perform the services described in each WPN and to deliver work product meeting the standards set forth herein; and

WHEREAS, the parties intend that each WPN issued under this Agreement shall constitute a binding instruction for a discrete scope of work, pricing and schedule, governed by the terms of this Agreement.

SCOPE OF WORK

Provider shall perform the services and deliver the work product described in the applicable WPN in accordance with the specifications, milestones and acceptance criteria set forth therein. The WPN and this Agreement together define the duties, standards and deliverables for each engagement.

PAYMENT TERMS

Client shall pay Provider in accordance with the pricing and schedule specified in the applicable WPN. Unless otherwise stated in a WPN, payments shall be made as provided below.

All payments shall be made in lawful currency, unless otherwise agreed. Provider shall submit itemized invoices referencing the applicable WPN Identifier. Disputed amounts must be notified in writing within ten (10) days of receipt; undisputed amounts remain payable.

TERM AND TERMINATION

This Agreement commences on and, unless earlier terminated as provided herein, continues until .

Either party may terminate this Agreement or an individual WPN for material breach if the breaching party fails to cure such breach within thirty (30) days of written notice. Termination shall not relieve Client of obligation to pay for accepted work or services properly performed through the termination date.

CONFIDENTIALITY

Each party (the "Receiving Party") acknowledges that it may receive Confidential Information from the other party (the "Disclosing Party"). Confidential Information shall mean non-public business information identified as confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure.

The Receiving Party shall: (a) hold Confidential Information in strict confidence; (b) use such information solely to perform its obligations under this Agreement; and (c) not disclose such information to third parties except to employees, contractors or advisors who have a need to know and who are bound by confidentiality obligations no less protective than those herein. This obligation survives termination for a period of three (3) years, except for trade secrets which shall be protected to the extent permitted by law.

INTELLECTUAL PROPERTY AND WPNS

Unless otherwise provided in a WPN, Provider hereby assigns to Client all right, title and interest in and to Work Product created specifically for Client under a WPN upon Client's full payment for such Work Product. Provider retains the right to use general know-how, skills, and expertise acquired during the course of performance, provided no Confidential Information or Client-owned Work Product is disclosed or used.

GOVERNING LAW

This Agreement and any dispute arising out of or relating to it shall be governed by and construed in accordance with the laws of the state of without regard to conflicts of law principles.

ENTIRE AGREEMENT

This Agreement, together with any WPNs executed under it, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. No amendment shall be effective unless in writing and signed by authorized representatives of both parties.

NOTICES

All notices under this Agreement shall be in writing and delivered to the addresses below or to such other address as a party designates in writing.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect. The parties are independent contractors; nothing herein creates a partnership, joint venture or employment relationship. Neither party may assign this Agreement without the prior written consent of the other, except that Client may assign to an affiliate or successor.
