Business WPP Document

This Business WPP Document (the "Agreement") is entered into by and between Client Name: and Provider Name: . The parties hereby agree as follows.

Recitals

WHEREAS, Client engages Provider to perform business work product protection and related professional services as set forth in this Agreement; and

WHEREAS, Provider represents that it has the expertise, personnel, and resources necessary to perform the services described in the Scope of Work; and

WHEREAS, the parties desire to set forth the terms and conditions governing such services, payment, confidentiality and other matters set forth herein, effective as of Effective Date: Day Month Year .

Scope of Work

Provider shall perform the services and deliverables described in this section (the "Services"). The Services shall include preparation, protection, and transfer of business work product, documentation of processes, and any other deliverables expressly agreed in writing by the parties.

Payment Terms

Client shall pay Provider the fees and expenses set forth below in consideration for the Services. All amounts are in U.S. dollars unless otherwise agreed in writing.

Late payments shall accrue a late fee equal to % per month (or the maximum permitted by law, if lower), and interest shall accrue from the due date on any unpaid balance until paid in full. Client shall also reimburse Provider for reasonable collection costs, including attorneys' fees.

Term and Termination

This Agreement shall commence on the Term Start Date and continue until the Term End Date, unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach by the other party if such breach is not cured within the notice period specified above. Termination shall not relieve Client of its obligation to pay for Services performed through the effective date of termination.

Confidentiality

"Confidential Information" means any non-public information disclosed by one party to the other that is designated confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Provider and Client agree to hold Confidential Information in strict confidence, not to use Confidential Information except to perform their obligations under this Agreement, and not to disclose Confidential Information to any third party except to those of their employees, contractors, or advisors who have a need to know and who are bound by obligations of confidentiality no less protective than those set forth herein.

Confidential Information shall not include information that (a) is or becomes publicly available through no fault of the receiving party; (b) was lawfully known to the receiving party prior to disclosure; (c) is independently developed by the receiving party without use of or reference to the disclosing party's Confidential Information; or (d) is rightfully received from a third party without an obligation of confidentiality. If a receiving party is compelled by law or order to disclose Confidential Information, it shall provide prompt written notice to the disclosing party and cooperate, at the disclosing party's expense, in seeking a protective order or other appropriate remedy.

Limitation of Liability; Indemnification

Except for willful misconduct or gross negligence, neither party shall be liable to the other for incidental, consequential, punitive, or exemplary damages. Each party shall indemnify and hold harmless the other from third-party claims arising from its breach of this Agreement or its negligent or willful acts in connection with the Services, provided that the indemnified party gives prompt written notice of any claim and cooperates in the defense.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in that state for any dispute arising out of or relating to this Agreement.

Entire Agreement

This Agreement, together with any exhibits or written statements of work incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. Any amendment or modification to this Agreement must be in writing and signed by authorized representatives of both parties.

Additional Provisions

Assignment: Neither party may assign this Agreement without the prior written consent of the other party, except that Provider may assign to an affiliate or in connection with a sale of substantially all of its business assets.

Notices: Notices shall be in writing and delivered to the addresses set forth below or as otherwise designated in writing by the parties.
