BUSINESS WQ TEMPLATE

This Business Work-Quotation Agreement (the Agreement) is entered into as of between (Company) and (Contractor).

WHEREAS

WHEREAS, Company requires certain professional services and deliverables described herein, and Contractor represents that Contractor possesses the skill, experience and qualifications to perform such services in accordance with the terms of this Agreement.

WHEREAS, Contractor has provided to Company a written quotation and scope of work and is prepared to perform the work for the compensation and on the schedule set forth in this Agreement.

WHEREAS, the parties desire to set forth their understanding in a binding agreement to govern the provision of services, payment, confidentiality, and other rights and obligations.

SCOPE OF WORK

Contractor shall perform the services described above in a workmanlike manner consistent with industry standards. Any material changes to the scope, schedule or deliverables must be documented in a written change order signed by authorized representatives of both parties.

PAYMENT TERMS

Unless otherwise agreed in writing, invoices are due within the number of days set forth in the Payment Schedule. Late payments shall accrue interest at the rate specified in the Late Payment Fee and the non-prevailing party shall reimburse reasonable collection costs and attorneys' fees incurred by the prevailing party.

TERM AND TERMINATION

This Agreement shall commence on and shall continue until unless earlier terminated as provided below.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within the notice period specified above after receipt of written notice. Termination for convenience by either party is permitted upon providing the required notice period; in such event Contractor shall be entitled to payment for services performed and costs reasonably incurred through the effective date of termination.

CONFIDENTIALITY

"Confidential Information" means non-public business, technical or financial information disclosed by one party to the other, whether disclosed orally, visually or in writing, that is designated as confidential or that reasonably should be understood to be confidential. Each receiving party shall: (a) hold Confidential Information in strict confidence and not disclose it to any third party without prior written consent of the disclosing party; (b) use Confidential Information solely to perform its obligations under this Agreement; and (c) take reasonable measures to protect such Confidential Information.

Confidential Information does not include information that: (i) is or becomes publicly available through no fault of the receiving party; (ii) is rightfully received from a third party without restriction; (iii) is independently developed by the receiving party without use of the disclosing party's Confidential Information; or (iv) is required to be disclosed by law, provided the receiving party gives prompt notice and cooperates with any lawful effort to limit disclosure.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the courts located in that state for any dispute arising out of this Agreement.

ENTIRE AGREEMENT

This Agreement, including any exhibits and written change orders signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, representations and understandings, whether written or oral. No amendment or waiver of any provision of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

Independent Contractor: Contractor is an independent contractor and not an employee, partner or agent of Company. Contractor is responsible for all taxes and withholdings arising from compensation paid under this Agreement.

Assignment: Neither party may assign or transfer its rights or obligations under this Agreement without the prior written consent of the other party, except that Company may assign to an affiliate or in connection with a merger or sale of substantially all of its assets.
