BUSINESS WRAP PROPOSAL

Recitals

WHEREAS Client Name: (the "Client") requires a comprehensive business wrap solution that consolidates project coordination, vendor oversight, and final delivery; and

WHEREAS Service Provider: (the "Provider") represents that it possesses the personnel, experience, and resources to perform such services; and

WHEREAS the parties desire to set forth the terms, scope, payment and other provisions under which the Provider will deliver the proposed Business Wrap services to the Client.

Scope of Work

The Provider shall furnish all labor, materials, coordination, project management, and final documentation necessary to deliver the Business Wrap services described below. Deliverables, milestones, and acceptance criteria are set forth in this section and any attached schedules.

Payment Terms

Client shall pay Provider for the services described in this Proposal in accordance with the schedule below. All amounts are payable in United States dollars and are exclusive of applicable taxes unless otherwise stated.

Unless otherwise agreed in writing, undisputed invoices are due within thirty (30) days of invoice date. Provider may suspend work if Client fails to pay amounts due within the agreed period after notice of nonpayment. Client is responsible for reasonable costs of collection, including attorneys' fees.

Term and Termination

This Proposal shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least Notice Period: days prior to the effective termination date. Either party may terminate for material breach if the breaching party fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach.

Upon termination, Client will pay Provider for all services performed and reimbursable expenses incurred through the effective date of termination. Provider will deliver work-in-progress and any completed deliverables for which Client has paid.

Confidentiality

Each party acknowledges that in the course of performance it may receive Confidential Information of the other party. "Confidential Information" means nonpublic business, technical, financial or other information designated as confidential or that reasonably should be understood to be confidential. Each party shall: (a) protect the other's Confidential Information with the same degree of care it uses to protect its own confidential information, but no less than reasonable care; (b) not disclose Confidential Information to any third party except to employees, contractors or advisors who have a need to know and who are bound by confidentiality obligations; and (c) use Confidential Information only in connection with performance of this Proposal.

Confidentiality obligations survive termination for a period of Confidentiality Term (years): years, except as otherwise required by law or judicial order.

Intellectual Property; Deliverables

Unless otherwise agreed in writing, Provider retains ownership of its preexisting materials, methodologies, tools, and intellectual property. Upon full payment, Provider grants Client a nonexclusive, worldwide, royalty-free license to use deliverables prepared specifically for Client pursuant to this Proposal for the Client's internal business purposes. Provider may use anonymized project information for marketing and portfolio purposes, provided no Confidential Information is disclosed.

Limitation of Liability and Warranty

Provider warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. Except for the express warranty set forth above, Provider disclaims all other warranties, express or implied. Except in cases of willful misconduct or gross negligence, Provider's aggregate liability for all claims arising out of or relating to this Proposal shall not exceed the total fees paid by Client to Provider under this Proposal.

Governing Law

This Proposal and any resulting agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles.

Entire Agreement

This Proposal, together with any attachments or schedules expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral. Any amendment or modification must be in writing signed by authorized representatives of both parties.

Acceptance

Acceptance of this Proposal shall occur upon signature by authorized representatives of both parties below. Upon acceptance, the terms contained herein will form a binding agreement between Client and Provider.
